Senior Facility Documents definition

Senior Facility Documents means the Senior Loan Agreement, each other “Loan Document” (as defined in the Senior Loan Agreement) and all other documents, instruments and agreements now or hereafter executed or delivered by or on behalf of the Borrowers or any guarantor in connection with the Senior Loan Agreement, as any of the same may be modified, amended, restated, replaced, supplemented, extended, split, severed or consolidated from time to time.

Senior Facility Documents means the Loan Documents (as defined in the Senior Facility Agreement).

Senior Facility Documents in Section 1.01 of the Indenture is hereby amended and restated in its entirety as follows:

• True, correct and complete copies of the material Senior Facility Documents in effect as of the date hereof have been delivered to the Lender.

• Subject to the conditions set forth in the Senior Facility Documents, Borrowers may make quarterly distributions in amounts equal to the Tax liabilities of its direct owners (or the ultimate owner(s) of a direct owner if such direct owner is a pass-through entity) attributable to items of income or gain incurred or realized by the applicable Borrower.

More Definitions of Senior Facility Documents

Senior Facility Documents shall have the meaning ascribed to it in the Intercreditor Agreement;

Senior Facility Documents means with respect to any Senior Obligations, any provision pertaining to such Senior Obligation in any Facility Document or any other document, instrument or certificate evidencing, or delivered in connection with, such Senior Obligations.

Senior Facility Documents means any documents related to the Senior Facilities, including any notes, Guarantees, the Senior Facility Collateral Documents, and any other instruments and agreements executed in connection therewith.

Senior Facility Documents means, collectively, the Senior Facility Agreement, the Senior Security Documents, any Loan Documents (as defined in the Senior Facility Agreement), any Senior Guaranty, the Senior Guaranty Documents and any other document, instrument or agreement now existing or in the future entered into evidencing, documenting, securing or otherwise relating to the Senior Indebtedness or the Collateral provided as security for the Senior Indebtedness, together with any amendments, replacements (including, any replacements in connection with a refinancing), substitutions, or restatements (in each case, to the extent not prohibited by Section 13 of this Agreement) thereof.

Senior Facility Documents means collectively (i) the Senior Credit Agreement, (ii) the Second Amended and Restated Security Agreement, dated August 1, 2000, among the Borrower, the Subsidiaries named therein and First Union Investors, Inc., as administrative agent, (iii) the Second Amended and Restated Pledge Agreement, dated August 1, 2000, among the Borrower, the Subsidiaries named therein and First Union Investors, Inc., as administrative agent, and (iv) the other Loan Documents referred to (and as such term is defined) in such Senior Credit Agreement, in each case as amended, modified or waived from time to time in accordance with Section 6.11.

Senior Facility Documents shall have the meaning ascribed to the term "Facility Documents" in the Senior Facility Agreement;

Senior Facility Documents means collectively (i) the Senior Credit Agreement, (ii) the Second Amended and Restated Security Agreement, dated August 1, 2000, among the Company, the Subsidiaries named therein and First Union Investors, Inc., as administrative agent, (iii) the Second Amended and Restated Pledge Agreement, dated August 1, 2000, among the Company, the Subsidiaries named therein and First Union Investors, Inc., as administrative agent, and (iv) the other Loan Documents referred to (and as such term is defined) in such Senior Credit Agreement, in each case as amended, modified or waived from time to time in accordance with Section 4.22.
