Subordinated Note Documents definition
Subordinated Note Documents means the indenture under which the Subordinated Notes were issued and all other instruments, agreements and other documents evidencing or governing the Subordinated Notes or providing for any Guarantee or other right in respect thereof.
Subordinated Note Documents means the Subordinated Notes, the Subordinated Note Purchase Agreement, the “Fee Letter” under and as defined in the Subordinated Note Purchase Agreement and any other Note Document (as defined in the Subordinated Note Purchase Agreement).
Subordinated Note Documents means, collectively, the Subordinated Note Indenture and all documents, instruments and agreements delivered in connection therewith.

Senior Noteholder and Subordinated Noteholder desire to enter into this Agreement in order to set forth the relative rights and priorities of Senior Creditor and Subordinated Creditor under the Senior Note Documents and the Subordinated Note Documents.
Subordinated Creditor shall not have any rights to assign or transfer any of its rights or obligations under the Subordinated Note Documents, including any or all of the Subordinated Debt, to any Person except as expressly provided in Section 2.3 hereof.
In the event of any conflict between any term, covenant or condition of this Agreement and any term, covenant or condition of any of the Senior Note Documents or the Subordinated Note Documents, the provisions of this Agreement shall control and govern.

Subordinated Note Documents means the Subordinated Note Guarantees, the Subordinated Note Indenture and the Subordinated Notes.
Subordinated Note Documents means (i) the Subordinated Notes, (ii) the Subordinated Indenture and (iii) any other agreements, documents or instruments executed and/or delivered in connection with the Subordinated Notes or the Subordinated Indenture in form and substance reasonably acceptable to the Administrative Agent, as the same may be amended, supplemented or modified in accordance with Section 8.21 hereof (including, without limitation, the Registration Rights Agreement (as defined in the Subordinated Indenture)).
Subordinated Note Documents means the Subordinated Note, the Subordinated Guaranty Agreement, the Subordinated Pledge Agreement and all other agreements, documents and instruments executed from time to time in connection therewith, as the same may be amended, supplemented or otherwise modified from time to time to the extent permitted by the terms of this Agreement.
Subordinated Note Documents the collective reference to the Senior Subordinated Notes, the Senior Subordinated Indenture, the Subordinated Debt Offering Memorandum and each agreement, instrument and document delivered in connection therewith or relating thereto.
Subordinated Note Documents means, collectively, the following (as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced): (a) the Subordinated Note Indenture, (b) the Subordinated Notes, (c) the Security Agreement, dated of even date herewith, by and among Borrowers, Guarantors and Subordinated Note Trustee, (d) the Exchange Agreement, dated of even date herewith, among Borrowers, Guarantors, Steel Partners II Liquidating Series Trust - Series A and Steel Partners II Liquidating Series Trust - Series E and (e) all of the other agreements, documents and instruments at any time executed and/or delivered by any Borrower or Guarantor with, to or in favor of Subordinated Note Trustee and/or Subordinated Noteholders in connection therewith or related thereto; sometimes being referred to herein individually as a “Subordinated Note Document”.
