If an Exchange Offer occurs under the Registration Rights Agreement, the Company will be required, on the Remarketing Settlement Date, to redeem, in whole (but not in part), certain Debentures which were not exchanged pursuant to the Exchange Offer (a "Transfer Restricted Security Redemption").
As part of a Transfer Restricted Security Redemption, on the Schedule Remarketing Settlement Date such Securities will be exchanged with the Trust for Debentures having an aggregate principal amount equal to the aggregate liquidation of such Securities and such Debentures shall immediately be redeemed by the Company at a redemption price equal to 100% of the principal amount thereof plus accrued and unpaid interest and Additional Interest, if any, to the date of redemption.
On each Debt Security Redemption Date and at maturity of the Debt Securities, the Trust shall be required to redeem a Like Amount of Trust Securities at the Redemption Price.
If the Company is required to redeem Debentures in connection with a Transfer Restricted Security Redemption, holders of such Securities shall receive notice of such redemption at or prior to the time that the Notice of Remarketing is required to be given to the Depository pursuant to Section 3.12.
