Underlying Security or "Underlying Securities": With respect to any Series, the asset or assets identified in the Underlying Securities Schedule. The Underlying Securities for any Series or the related Trust shall not constitute Underlying Securities for any other Series or any other Trust.

Underlying Security means a security of a parent issuer issued or transferred, or to be issued or transferred, on the exchange of an exchangeable security.

Examples of Underlying Security in a sentence

• Except as set forth in Section 7.10, the Trustee makes no representations or warranties as to the validity or sufficiency of this Trust Agreement or of the Certificates of any Series (other than the signature and authentication on the Certificates) or of any Underlying Security or related document.

• The Retained Interest, if any, in any Underlying Security shall initially be held by the Person so specified in the related Supplement as and to the extent specified therein.

• With respect to any Concentrated Underlying Security, the Underlying Securities Schedule shall include information regarding the payment terms of the Concentrated Underlying Security, the maturity or terms thereof, the rating, if any, thereof and any other material information with respect thereto.

• Unless otherwise provided in the applicable Series Supplement, after deduction of all applicable fees as provided for in this Trust Agreement, on each Distribution Date the Trustee shall allocate on a pari passu basis any partial recovery on an Underlying Security between (a) the Retained Interest, if any, and (b) distributions to Certificateholders of the applicable Series.

• With respect to each Underlying Security, unless otherwise specified in the related Series Supplement, the Retained Interest shall be deducted by the Trustee from applicable collections in respect of such Underlying Security.

Underlying Security or "Underlying Securities": With respect to any Series, the asset or assets Granted as part of the Trust for such Series or acquired (or, in the case of an agreement, entered into) by the Trustee for the benefit of the Holders of such Series, and, if and to the extent provided in the applicable Series Supplement, for the benefit of any Credit Support Provider, all as identified in the Schedule A to the related Series Supplement. The Underlying Securities for any such Series or the related Trust shall not constitute Underlying Securities for any other Series or any other Trust.

Underlying Security means, with respect to DR Linked Warrants and a Depositary Receipt, the security and any other property to which such Depositary Receipt relates.

Underlying Security means the class of Parity Securities in respect of which the payments made represent the highest proportion of the payment which would have been payable during the one-year period prior to, and including, the relevant Interest Payment Date.

Underlying Security means, with respect to a Reference Share, each security underlying the relevant Reference Fund.

Underlying Security means in respect of each Series, the portfolio securities of the Underlying Issuer as specified in the Final Terms for that Series.
