Restricted Documents definition

Restricted Documents means items listed under the following parts of Exhibit A to the Asset Purchase Agreement: Section 2.1(b), “Marketing Development Kit Assets” listed under Section 2.1(d), Section 2.1(e) and Section 2.1(f) (except third-party software tools and licenses underlying the items listed under the heading “Application Software Code Developed from Third-Party Licenses and Tools”).
Restricted Documents means documents which contain Restricted Information. For the avoidance of doubt, any notes, copies, reports, submissions or other documents containing, reproducing or reflecting the content of Restricted Documents are themselves Restricted Documents unless all Restricted Informationcontained in them has been redacted. Documents that use Restricted Information in Restricted Documents (for example, to provide an aggregation of Restricted Information) but which do not reveal the content of Restricted Information shall not be Restricted Documents.
Restricted Documents means all supporting material, whether audiovisual or digital, that contains or incorporates information that has previously been classified as confidential by the Economic Group or which, according to current norms, is otherwise considered classified.

Examples of Restricted Documents in a sentence

  • Except as set forth in the Transition Services Agreement and except as provided in Section 3.2 herein, for a period of *** years after the Effective Date, Seller agrees not to (a) make, have made, sell, license or otherwise provide to any third party the Products or any products derived from and substantially identical to the Products, or (b) sell, license or otherwise provide to any third party the Restricted Documents.

  • General distribution and delivery of Restricted Documents, including any copies of such Restricted Documents, must take place, whenever possible, in person and be given only to persons that are included on the list of individuals who are authorized to access Privileged Information.

  • For purposes of this Section III, persons that are responsible for coordinating or overseeing work involving Privileged Information are liable for all Restricted Documents accessed or utilized by persons performing such work.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Related Documents mean all promissory notes, credit agreements, loan agreements, environmental agreements, guaranties, security agreements, mortgages, deeds of trust, security deeds, collateral mortgages, and all other instruments, agreements and documents, whether now or hereafter existing, executed in connection with the Loan.

  • Subordinated Documents means the Subordinated Note and any and all other documents, agreements, writings or instruments executed in connection therewith or pursuant thereto, in each case, as in effect on the date hereof and as amended, modified, restated or Refinanced in accordance with the terms hereof.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Seller Documents has the meaning set forth in Section 3.2.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Guarantee Agreement, the Notes and the Trust Securities.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Transaction Agreements means the Securities Purchase Agreement, the Debentures, the Joint Escrow Instructions, the Security Agreement, the Registration Rights Agreement, and the Warrants and includes all ancillary documents referred to in those agreements.

  • L/C Related Documents has the meaning specified in Section 2.06(b)(i).

  • Borrower Documents shall have the meaning set forth in Section 6.06.

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.

  • Bidding Documents means the set of Bidding Documents that preceded the placement of the Contract of which these GCC form a part, which were sold or issued by the Purchaser to potential Bidders, and in which the specifications, terms and conditions of the proposed procurement were prescribed.

  • L/C Documents is defined in Section 3.4 hereof.

  • Required Documents means those documents identified in Section 2(I) of the Custodial Agreement.

  • Tender Documents means the General and special conditions of contract (2.1.8) and tender specification (2.1.9).

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Bid Documents means all the documents issued by the Chief Procurement Officer, or referenced by the Chief Procurement Officer as being available on the City's website and incorporated by such reference, in connection with an invitation for bids or proposals. Except for such Bid Documents as are posted on the City's website and incorporated by reference, all Bid Documents must be submitted by a bidder on the Bid Opening Date.

  • Guarantor Documents means this Guaranty and all other certificates, documents, agreements and instruments delivered to any Guaranteed Party under or in connection with this Guaranty and the Loan Documents.

  • Specified Documents means, with respect to any Property File, each document listed in the definition of “Property File”.
