Responsible Party shall maintain reasonable operating standards and security procedures, and shall use commercially reasonable efforts to secure Personal Data and ensure that it is protected against: (I) loss; (II) unauthorised access, use, modification or disclosure; and (III) other misuse.
Sourcewell reserves the right to unilaterally assign all or portions of this Agreement within its sole discretion to address corporate restructurings, mergers, acquisitions, or other changes to the Responsible Party and named in the Agreement.
