Request for Advances definition

Request for Advances means a written or telephonic request, or a written confirmation, made by Borrower which meets the requirements of Section 2.2.

Request for Advances. TBA may request an Advance under the Line not later than 12:00 noon Dallas, Texas time (i) on the business day such Advance is requested to be made if the maturity date of such requested Advance is for no more than 29 days, or (ii) at least two (2) business days prior or to the business day such Advance is requested to be made if the maturity date of such requested Advance is for more than 29 days. The amount, interest rate and maturity date of each Advance will be agreed upon by Bank and TBA on or before such Advance is made (failing which such Advance will not be made), and such agreement shall be promptly confirmed in writing by Bank to TBA, which confirmation shall be conclusive in the Absence of manifest error. Availability Period: Advances may be requested from the date of acceptance of this Line Letter by TBA to the date either Bank or TBA, in their sole discretion, terminates the Line. In no event may Advances be made on or after May 14, 2001. Promissory Note: Advances will be evidenced by a master revolving promissory note (the "Note") in the form of Exhibit A attached hereto. The terms of each Advance will be recorded by Bank on the grid attached to the Note, but the inaccuracy or the failure of Bank to make any such recordation shall not affect the obligations of TBA under the Note.

Examples of Request for Advances in a sentence

  • Each Request for Advances shall be irrevocable and binding on Borrower.

  • Request for Advances at the LIBO Rate shall be made on written notice from the Borrower to the Agent received by the Agent no later than 11:00 a.m. (Central Time) on the third (3rd) Business Day before such LIBO Rate Advance, specifying the amount thereof (including the amount of each tranche, if more than one) and the LIBO Rate Interest Period (or Interest Periods, if more than one tranche).

  • Such Request for Advances shall be irrevocable and binding on the Borrower.

  • Any such notice or communication shall be deemed to have been given (a) in the case of personal delivery or delivery service, as of the date of delivery at the address provided herein, (b) in the case of telecopy, upon receipt, or (c) in the case of registered or certified United States mail, three days after deposit in the mail; provided, however, that no Request for Advances or Rate Election shall become effective until actually received by Administrative Agent.

  • The aggregate amount of all Advances requested of all Lenders in any Request for Advances must be greater than or equal to $3,000,000 or must equal the unadvanced portion of the Available Borrowing Base.

  • Each such written request or confirmation must be made in the form and substance of the "Request for Advances" attached hereto as Exhibit B, duly completed.

  • The Agent shall promptly notify the Lenders of such Request for Advances and the information contained therein.

  • The amount so received by the Agent shall, subject to the terms and conditions of this Agreement, be made available to the Borrower by depositing the same in immediately available funds in the appropriate account or accounts of the Borrower and by disbursing such funds as indicated in writing in the related Request for Advances prior to the date such Advances are proposed to be made.

  • All the Advances requested in a single Request for Advances or Interest Rate Election shall be subject to the same interest rate terms.

  • On the date of each Advance hereunder, and on the date the Borrowers presents to the Lender each Request for Advances, the representations and warranties set forth in this Agreement and in all other Loan Documents shall be true and correct in all material respects on and as of each such date with the same effect as though such representations and warranties had been made on the date of the Advance or on the date the Borrowers presents to the Lender a Request for Advances.

  • Request for Advance means a Request for Revolving Credit Advance or a Request for Swing Line Advance, as the context may indicate or otherwise require.

  • Request for Loan means a written request for a Loan substantially in the form of Exhibit E, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be included therein.

  • Notice of Continuation or Conversion has the meaning provided in Section 2.10(b).

  • Request for Letter of Credit means a written request for a Letter of Credit substantially in the form of Exhibit F, signed by a Responsible Official of Borrower and properly completed to provide all information required to be included therein.

  • Notice of Swing Line Borrowing has the meaning specified in Section 2.02(b).

  • Request for Payment means a payment application or declaration of expenditure submitted by the Member State to the Commission;

  • Notice of Conversion or Continuation shall have the meaning provided in Section 2.6(a).

  • Swingline Borrowing Request means a request by the Borrower substantially in the form of Exhibit C-2.

  • Borrowing Request means a request by the Borrower for a Revolving Borrowing in accordance with Section 2.03.

  • Revolving Loan Notice means a notice of (a) a Revolving Borrowing, (b) a conversion of Revolving Loans from one Type to the other, or (c) a continuation of Revolving Loans as the same Type, pursuant to Section 2.02(a), which, if in writing, shall be substantially in the form of Exhibit A.

  • Committed Loan Notice means a notice of (a) a Committed Borrowing, (b) a conversion of Committed Loans from one Type to the other, or (c) a continuation of Eurodollar Rate Loans, pursuant to Section 2.02(a), which, if in writing, shall be substantially in the form of Exhibit A.

  • Advance Request Form means a certificate, in a form approved by Lender, properly completed and signed by Borrower requesting a Revolving Credit Advance.

  • Notice of Revolving Borrowing shall have the meaning as set forth in Section 2.3.

  • Competitive Borrowing means a Borrowing consisting of a Competitive Loan or concurrent Competitive Loans from the Lender or Lenders whose Competitive Bids for such Borrowing have been accepted under the bidding procedure described in Section 2.03.

  • Request for Extension of Credit means (a) with respect to a Borrowing of Loans (including Swing Line Loans) or the conversion or continuation of Loans, a Loan Notice and (b) with respect to an L/C Credit Extension, a Letter of Credit Application.
