Quarterly Tax Distribution Amount definition

Quarterly Tax Distribution Amount means, with respect to each Partner for each Fiscal Quarter of a Fiscal Year, an amount equal to (a) the excess of (i) the product of (A) such Partner’s Estimated Adjusted Taxable Income for the portion of such Fiscal Year ending with the end of such Fiscal Quarter (which portion shall be the entire Fiscal Year in the case of the fourth Fiscal Quarter of such Fiscal Year) and (B) such Partner’s Applicable Tax Rate over (ii) the aggregate amount of all prior Quarterly Tax Distributions made to such Partner with respect to such Fiscal Year pursuant to Section 6.4(a), less (b) the lesser of (i) the amount of the excess described in clause (a) above and (ii) the sum of the aggregate amount of all prior distributions made in such Fiscal Year pursuant to Section 6.1 or Section 6.2 (other than any distributions made pursuant to Section 6.4(a) or Section 6.4(b) that are, pursuant to Section 6.4(c), treated as distributions made pursuant to Section 6.1 or Section 6.2).

More Definitions of Quarterly Tax Distribution Amount

Quarterly Tax Distribution Amount means an amount equal to 30% of Available Cash for the applicable fiscal quarter of the Company, which shall be distributed to the holders of Common Stock of GMS Holdings ratably on April 15, June 15, September 15 and January 15 of each year (each such date, a “Quarterly Distribution Date”).
Quarterly Tax Distribution Amount means, for any estimated tax payment date for a Fiscal Year, an amount equal to the excess, if any, of (x) the product of (i) the Assumed Tax Liability for the Fiscal Year (as determined in good faith by the Management Committee) and (ii) 25% (in the case of the first estimated tax payment date), 50% (in the case of the second estimated tax payment date), 75% (in the case of the third estimated tax payment date), or 100% (in the case of the fourth estimated tax payment date) over (y) prior distributions pursuant to Section 5.4(a)(iii) in respect of the Assumed Tax Liability for the Fiscal Year.
Quarterly Tax Distribution Amount means the Company's estimate of the Company's taxable income for the taxable year through the end of the month that is two months prior to the month in which the distribution is to be made (i) multiplied by a fraction, the numerator of which is the number of full months that have occurred in the taxable year through to the date the distribution is to be made, and the denominator of which is the numerator minus one (the resulting product for an estimated tax period being such period's "Taxable Income Estimate"), (ii) then reduced by the Company's Taxable Income Estimate for the prior estimated tax period, and (iii) then multiplied by the highest combined federal/California marginal tax rate applicable to individuals. The Quarterly Tax Distribution Amount for any quarter shall be increased by the amount of any Quarterly Tax Distribution Amount relating to any prior estimated tax period to the extent the full amount of the Quarterly Tax Distribution Amount relating to such prior period has not yet been distributed.

  • Tax Distribution Amount means, with respect to a Member’s Units, whichever of the following applies with respect to the applicable Tax Distribution, in each case in amount not less than zero:

  • Extra Principal Distribution Amount As of any Distribution Date, the lesser of (x) the related Total Monthly Excess Spread for such Distribution Date and (y) the related Subordination Deficiency for such Distribution Date.

Such amount shall be determined separately for each Loan Group. Additionally, with respect to any Mortgage Pool that is comprised of two or more Loan Groups, if on any Distribution Date Compensating Interest provided pursuant to this Section 3.16(e) is less than Prepayment Interest Shortfalls incurred on the Mortgage Loans in connection with Principal Prepayments in Full and Curtailments made in the prior calendar month, such Compensating Interest shall be allocated on such Distribution Date to the Available Distribution Amount for each Loan Group on a pro rata basis in accordance with the respective amounts of such Prepayment Interest Shortfalls incurred on the Mortgage Loans in such Loan Group in respect of such Distribution Date.
