The Transferee will succeed to the attributes of the Transferor of the Transferred Shares (including, for the avoidance of doubt, Capital Contributions, Unpaid Class A Preferred Return, Unrecovered Capital, Prior Distributions, in each case, as such terms are defined in the Certificate of Incorporation) for purposes of applying the provisions of the Certificate of Incorporation to such Transferred Shares, except as otherwise provided in any amendment to this Agreement joining the Transferee as a Party.
In addition to the other provisions set forth in this Agreement, BUYER’s agreement to pay the Purchase Price for the Transferred Claim Rights is expressly subject to and conditioned upon SELLER’s receipt of the Prior Distributions including, but not limited to, SELLER’s receipt of all interim distributions authorized to be paid to SELLER pursuant to the Third Bulk Transfer Order.
Within five business days of Receipt, CHT and CMC shall receive, via wire transfer of immediately available funds to the Escrow Account (as defined below), one-half of Distributions received into the PIBL Account in excess of $4,500,000 in gross Distributions (inclusive of the Prior Distributions as though the Prior Distributions had been paid into the PIBL Account).
Tax Distributions shall be made on or before the 15th day following the end of each Estimated Tax Quarter in which an event described in the preceding sentence occurs in an amount equal to the Formation Member's Presumed Tax Liability for such Estimated Tax Quarter, less the aggregate amount of Prior Distributions previously made to the Formation Member that relate to such calendar year.
This is because Class Member A’s percentage of Prior Distributions equals 0.1% ($10,500/$10,500,000=0.001), and the Net Settlement Amount multiplied by 0.1% equals $12,000 ($12,000,000*0.001=$12,000).
Each Settlement Class Member’s Settlement Credit Amount shall be equal to the Net Settlement Amount multiplied by the percentage of all Prior Distributions distributed to that Settlement Class Member (or to the Participant on whom the Settlement Class Member’s membership in the Class is based).1 In accordance with the procedures set forth in this Article, as approved or modified by the Court, the Settlement Administrator will distribute to each Class Member their Settlement Credit Amount.
