Preexisting Work definition

Preexisting Work means (a) any Content, Code and similar original works of authorship that existed prior to the date of this Agreement and (b) any other Content, Code or similar original works of authorship that (i) exist prior to the date of a particular Work Statement, (ii) are specifically identified on the Work Statement, and (iii) were not created, developed, or derived for Dell under this Agreement.
Preexisting Work means any technology, information, procedures, protocols, software (either in source or object code form), examination materials, data, information and works of authorship existing as of the Effective Date.

Examples of Preexisting Work in a sentence

  • We grant You a non-exclusive, perpetual, fully paid-up license to use, reproduce and modify (if applicable) Our Pre-existing Work in the form delivered to You for Your internal business operations without any obligation of accounting or payment of royalties.

  • All rights in any materials developed by Us (other than software code) and provided to You in connection with the Services ("Materials") shall be owned by Us except to the extent such Materials constitute Your Pre-existing Work.

  • I agree that I will not incorporate any Pre-existing Work into any Company works without first obtaining the express, written approval of the Company in each case.

  • During the performance of the Services for this Services Description, each Party grants to the other Party (and Our contractors as necessary) a temporary, non-exclusive license to use, reproduce and modify any of its Pre-existing Work provided to the other Party solely for the performance of such Services.

  • To the extent that I incorporate any Pre-existing Work into any Company works, I hereby represent and warrant that I have all necessary rights and authority to do so and hereby grant to Company the perpetual, irrevocable, non-exclusive, worldwide, royalty-free and sublicensable right to use and exploit such Pre-existing Work for any and all purposes in connection with the Company's and its affiliates' and their respective successors' and assigns' current and future businesses.

  • Each party may use, reproduce and modify the other party’s Pre-existing Work only as needed to perform obligations related to Professional Services.

  • Your licenses to Our Pre-existing Work are conditioned upon Your compliance with the terms of the Agreement and this Services Description and the perpetual license applies solely to Our Pre-existing Work that is left to You at the conclusion of Our performance of the Services.

  • All rights in any computer code or materials developed or otherwise obtained by or for Us or Our affiliates, or You or Your affiliates independently of this Services Description (“Pre-existing Work”) shall remain the sole property of the Party providing the Pre-existing Work.

  • In addition to the other rights granted, Microsoft further consents to the modification (if applicable) of any of Microsoft’s Pre-existing Work as part of a Services Deliverable, solely in the form delivered to Customer, and solely for Customer’s internal business operations.

  • I hereby represent and warrant that there is no Pre-existing Work other than as set forth in Exhibit B.

Related to Preexisting Work

  • Shift Work is defined as the same work performed by two or more employees or two or more successive sets or groups of employees working successive periods.

  • Similar work mentioned above means the following:

  • covered work means either the unmodified Program or a work based on the Program.

  • The Work means each and every activity required for the successful performance of the services described in Section II, the Terms of Reference.

  • piece-work means any work the pay for which is estimated by the amount of work performed irrespective of the time occupied in its performance;

  • Completion of Services means..................................................

  • Company’s workforce means the persons (and the dependants of those persons) engaged whether as employees, agents or contractors in the construction and operation of the facilities to be established pursuant to approved proposals;

  • Continuous Shift Work means work done by separate relays of employees where the hours of work are regularly rotated in accordance with a shift roster covering a 24 hour per day operation over a 7 day week.

  • Work or Works means the works to be executed or done under this contract.

  • Major Work means any Work to Construct or Maintain the Distribution System that costs more than One Hundred Thousand ($100,000.00) Dollars;

  • Continuous work means work carried on with consecutive shifts throughout the twenty four hours of each of at least five consecutive days without interruption except during breakdowns or meal breaks or due to unavoidable causes beyond the control of the Employer.

  • Permanent Work means the permanent works including equipment to be supplied, executed, erected and maintained in accordance with the Contract.

  • job work means any treatment or process undertaken by a person on goods belonging to another registered person and the expression “job worker” shall be construed accordingly;

  • task-based work means work in which a worker is paid a fixed rate for performing a task;

  • Supply of services means any transaction which does not constitute a supply of goods.

  • Contract Work means everything required to be furnished and done by the Contractor by any one or more of the parts of the Contract referred to in Article 1, except Extra Work as hereinafter defined.

  • Additional Work to mean additions or deletions or modifications to the amount, type or value of the Work and Services as required in this Contract, as directed and/or approved by the County.

  • Minimum Improvements means the acquisition of land and construction of a 152-unit market rate residential apartment building, construction of a stormwater pond and related improvements. The Minimum Improvements are more fully depicted in Exhibit B, which is attached hereto and incorporated herein.

  • Building Work has the meaning given to it in section 6 of the Building and Construction Industry (Improving Productivity) Act 2016 (Cth);

  • continuous supply of services means a supply of services which is provided, or agreed to be provided, continuously or on recurrent basis, under a contract, for a period exceeding three months with periodic payment obligations and includes supply of such services as the Government may, subject to such conditions, as it may, by notification, specify;

  • Collective Work means a work, such as a periodical issue, anthology or encyclopedia, in which the Work in its entirety in unmodified form, along with a number of other contributions, constituting separate and independent works in themselves, are assembled into a collective whole. A work that constitutes a Collective Work will not be considered a Derivative Work (as defined below) for the purposes of this License.

  • Time Worked means time during which an employee is performing labor or services for the benefit of an employer, including all time s/he is suffered or permitted to work, whether or not required to do so.

  • Hot Work means work involving electric or gas welding, cutting, brazing, or similar flame or spark-producing operations.

  • Base Building Work means the base building work for the Building as described in this Manual.

  • specified work means so much of any of the authorised development as is situated upon, across, under, over or within 15 metres of, or may in any way adversely affect, railway property.

  • a work means the outcome of building or civil engineering works taken as a whole which is sufficient in itself to fulfil an economic or technical function;
