If Aktis desires to (a) use any Patents or Know-How controlled by Aktis pursuant to an Excluded In-License in the performance of its activities under an applicable Research Plan or (b) incorporate any of the foregoing into any Licensed Compound or Licensed Product, then, in either case, Aktis shall promptly notify Lilly thereof [***].
