Permitted Financings definition

Permitted Financings has the meaning set forth in Section 10.5.

More Definitions of Permitted Financings

Permitted Financings means any and all of (a) Indebtedness secured by the Arena Property, (b) Indebtedness incurred for, and the net proceeds of which are used for the acquisition, renovation or development of theaters, arenas, event locations or festivals and related assets in up to seven locations, (c) any credit or other debt facility sponsored by a League to provide loans or other extensions of credit to any Team, whether or not secured by Team Assets or (d) Tax Incentive Transfers.
Permitted Financings means (i) Revolving Credit Debt and (ii) the issuance of shares of Common Stock pursuant to or in connection with (a) any merger or acquisition entered into by the Company, (b) options and warrants disclosed on Schedule II to this Agreement or in connection with employee and director stock option plans of the Company and (c) payments to Great White Shark Enterprises, Inc. under that License Agreement between Xxxx Xxxxxx, Great White Shark Enterprises, Inc. and the Company dated as of March 1, 1996 (the "Xxxxxx License Agreement").

Permitted Financings means (i) the arrangement or renewal of accounts receivable sale or securitization programs, (ii) the refinancing or renewal of the Existing Five-Year Credit Agreement (provided that (x) any such refinancing thereof shall be in consultation with the Arranger and (y) the aggregate commitments thereunder shall not be increased by more than $500,000,000) or bilateral lines of credit, (iii) the issuance of commercial paper or other short-term debt programs, including, without limitation, any domestic or foreign working capital facility and the incurrence of Indebtedness under existing credit facilities (up to the committed amounts under such facilities as of the date hereof), (iv) the refinancing of Indebtedness in the ordinary course of business (in amounts not to exceed the amounts of the loans and commitments thereunder as of the date hereof (taking into account any “incremental” or similar provisions contained therein), (v) the arrangement, renewal or amendment of any federal new markets tax credit program or any federal subsidized loans for one or more U.S. facilities of the Borrower or its Subsidiaries, and (v) in connection with any joint ventures of the Borrower, the arrangement, renewal or amendment of any project financing by the Borrower, its Subsidiaries or any joint venture entity (or entities).
