AMENDMENT OF. SECTION 1.01
AMENDMENT OF. ARTICLE 28 OF THE TREATY
AMENDMENT OF. ARTICLE 15. Borrower hereby agrees that the foregoing provisions of this Article 15 constitute an agreement among the Agent and the Lenders (and the Agent and the Lenders acknowledge that except for the provisions of Section 13.5, Borrower is not party to or bound by such foregoing provisions) and that any and all of the provisions of this Article 15 (excepting Section 15.6) may be amended at any time by the Lenders and the Agent without the consent or approval of, or notice to Borrower (other than the requirement of notice to Borrower of the resignation of the Agent and the appointment of a successor Agent).
AMENDMENT OF. SECTION 3.3.2. The Agreement is hereby amended by deleting the existing Section 3.3.2 in its entirety and replacing it with the following text:

AMENDMENT OF. ARTICLE V. Article V of the Credit Agreement is hereby amended by adding the following Sections at the end thereof:
AMENDMENT OF. ARTICLE 13. American Ski and the Borrowers hereby agree that the foregoing provisions of this Article 13 constitute an agreement among the Agent and the Lenders (and the Agent and the Lenders acknowledge that except for the provisions of Section 13.6, American Ski and the Borrowers are not parties to or bound by such foregoing provisions) and that any and all of the provisions of this Article 13 (excepting Section 13.6) may be amended at any time by the Lenders and the Agent without the consent or approval of, or notice to, American Ski and the Borrowers (other than the requirement of notice to American Ski and the Borrowers of the resignation of the Agent and the appointment of a successor Agent).
