Other Manager Properties definition

Other Manager Properties shall have the meaning set forth in Section 1.01 of the Management Agreement.
Other Manager Properties means, collectively the Manager LV Properties and any other Hospitality Product (other than the Managed Properties) which Manager or its Affiliate owns, manages or licenses (as licensor).

  • Manager acknowledges and agrees that all current and future versions of the Reservation Systems constitute part of the Technology Systems belonging to Owner and such Reservation Systems shall not be shared with, cross-referenced or linked to the reservation systems used by the Other Manager Properties other than the Combined Properties without the prior written approval of Owner (which approval may be granted or withheld in Owner’s sole and absolute discretion).

  • In addition, if the Management Agreement is terminated in accordance with its terms, then this Agreement and the rights of Licensee hereunder shall automatically terminate without the need for any further action hereunder; provided, however, that after termination of this Agreement for any reason, Licensee may continue to use any Technology Systems IP licensed hereunder as of the date of termination with respect to any of the Other Manager Properties.

Related to Other Manager Properties

  • Other Properties shall have the meaning set forth in Section 9.1.

  • Initial Properties means collectively the Properties listed on Schedule 1.1 and “Initial Property” means any of such Properties.

  • Real Estate Business means homebuilding, housing construction, real estate development or construction and the sale of homes and related real estate activities, including the provision of mortgage financing or title insurance.

  • Common Properties means and refer to those areas of land shown on any recorded subdivision plat of The Properties and intended to be devoted to the common use and enjoyment of the owners of The Properties.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Subject Properties has the meaning specified in Section 5.13(a).

  • Real Properties means, at any time, a collective reference to each of the facilities and real properties owned, leased or operated by the Consolidated Parties at such time.

  • Owned Properties has the meaning set forth in Section 3.16.

  • Real Estate means all Leases and all land, together with the buildings, structures, parking areas, and other improvements thereon, now or hereafter owned by any Loan Party, including all easements, rights-of-way, and similar rights relating thereto and all leases, tenancies, and occupancies thereof.

  • Real Estate-Related Securities shall have the meaning set forth in the Charter.

  • Operating Property means any property owned, leased, or operated by the Party in question or by any of its Subsidiaries or in which such Party or Subsidiary holds a security interest or other interest (including an interest in a fiduciary capacity), and, where required by the context, includes the owner or operator of such property, but only with respect to such property.

  • Real Estate Assets means any investment by the Company or the Operating Partnership in unimproved and improved Real Property (including fee or leasehold interests, options and leases), directly, through one or more subsidiaries or through a Joint Venture.

  • Real Estate-Related Assets means any investments by the Company or the Operating Partnership in Mortgages and Real Estate-Related Securities.

  • Property Owners association" or "association" means an incorporated or unincorporated entity upon which responsibilities are imposed and to which authority is granted in the declaration.

  • Properties as defined in Section 4.17(a).

  • Customer Property means the property, other than real property and IPR, including any equipment issued or made available to the Supplier by the Customer in connection with this Call Off Contract;

  • Hotel Property means a Property on which there is located an operating hotel.

  • Investment Related Property means: (i) all “investment property” (as such term is defined in Article 9 of the UCC) and (ii) all of the following (regardless of whether classified as investment property under the UCC): all Pledged Equity Interests, Pledged Debt, the Investment Accounts and certificates of deposit.

  • Direct Investments means assets which are not Underlying Funds.

  • Owned Real Properties has the meaning set forth in Section 3.16(b).

  • Project Company means Company incorporated by the bidder as per Indian Laws in accordance with Clause no 3.5.

  • SPE means (i) an entity formed for the purpose of holding, acquiring, constructing, developing or improving assets whose acquisition, construction, development or improvement will be financed by Specified SPE Debt or equity investments in such entity or (ii) an entity acquired by the Restricted Parent or a Restricted Subsidiary of the Restricted Parent whose outstanding Indebtedness is all Specified SPE Debt.
