OTC Company means Zewar Jewellery, Inc., a U.S. publicly traded company to be acquired by Buyer in the Reverse Merger simultaneously with the Option Grant Closing and the issuer of securities in a private placement financing to be closed immediately prior to or simultaneously with the Option Grant Closing pursuant to a subscription agreement substantially in the form of Annex A hereto (the “Subscription Agreement”). "Parties" and "Party" have the respective meanings ascribed to them in the introductory paragraph of this Agreement.

OTC Company means the public company whose shares are listed on TPEx fortrading. "Register of Members" means the register of members maintained in accordance withthe Statute and includes (except where otherwise stated) any duplicate Register of Members. "Registered Office" means the registered office for the time being of the Company. "ROC" means Taiwan, the Republic of China. "Seal" means the common seal of the Company and includes everyduplicate seal. "Share" and "Shares" means a share or shares in the Company. "Special Resolution" has the same meaning as in the Statute.
