Material Group Company definition

Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.

Material Group Company means, at any time:

Material Group Company means the Issuer or a Subsidiary representing more than10.00 per cent. of the total assets or EBITDA of the Group on a consolidated basis according to the latest Financial Report.

Examples of Material Group Company in a sentence

• The Issuer merges with any other person, or is subject to a demerger, with the effect that the Issuer is not the surviving entity; or (ii) a Material Group Company merges or demerges into a company which is not a Group Company, provided that such merger or demerger has a Material Adverse Effect.

• The Parent, the Issuer, any Guarantor or any Material Group Company is unable or admits inability to pay its debts as they fall due or is declared to be unable to pay its debts under applicable law, suspends making payments on its debts generally or, by reason of actual or anticipated financial difficulties, commences negotiations with its creditors (except for Bondholders) with a view to rescheduling its Financial Indebtedness.

• Any enforcement of Security, expropriation, attachment, sequestration, distress or execution, or any analogous process in any jurisdiction, affects any asset of any Material Group Company having an aggregate value of an amount equal to or exceeding SEK 50,000,000 and is not discharged within sixty (60) days.

• A moratorium is declared in respect of the Financial Indebtedness of the Parent, the Issuer, any Guarantor or any Material Group Company.

• A Material Group Company ceases to carry on its business except if due to (a) a disposal permitted under Clause 11.6 (Disposal of assets), (b) a solvent liquidation of a Group Company other than the Issuer or (c) a merger or demerger permitted as stipulated in paragraph (h) above and provided that, in relation to a discontinuation of a Material Group Company (other than the Issuer) such discontinuation is likely to have a Material Adverse Effect.

More Definitions of Material Group Company

Material Group Company means the Issuer, each Guarantor and any other Group Company with earnings before interest, tax, depreciation and amortisation calculated on the same basis as EBITDA representing 5.00% or more of EBITDA, or which has total assets representing 5.00% or more of the total assets of the Group, calculated on a consolidated basis according to the latest Financial Report.

Material Group Company means any Subsidiary of the Issuer consolidated in accordance with the financial reporting standards applied to the Issuer in the last annual consolidated financial statement (i) whose net revenues or total assets pursuant to its most recent audited nonconsolidated financial statements (or, if the relevant subsidiary itself prepares consolidated financial statements, whose consolidated net revenues or consolidated total assets pursuant to its most recent audited consolidated financial statements), which were used for the preparation of the most recent consolidated financial statements of the Issuer, amounts to at least 10 per cent of the consolidated total net revenues and/or 10 per cent of the consolidated total assets of the Group, and(ii) which is directly or indirectly majority-owned by the Issuer.

Material Group Company means the Issuer, each Sergel Entity and each Group Company representing more than 10.00 per cent of the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra group transactions) according to the latest Financial Report.

Material Group Company means, as the context requires, any one of them;
