Duplicate Register definition

Duplicate Register has the meaning specified in Section 305.
Duplicate Register means the register of the Notes kept at the Issuer's registered office including, for the avoidance of doubt, a copy of the Capital Commitment Register as kept by the Capital Commitment Registrar;
Duplicate Register means an up-to-date copy of the Register which shall be maintained by a Luxembourg Issuer at its registered office. In case of discrepancy between the Register and the Duplicate Register, the Duplicate Register shall prevail for Luxembourg law purposes.

Examples of Duplicate Register in a sentence

  • In case of discrepancy between the Security Register and the Duplicate Register, the Duplicate Register shall prevail for Luxembourg law purposes.

  • In the event of inconsistency between the register and the Duplicate Register, the Duplicate Register shall, for purposes of Luxembourg law, prevail.

  • In the event of an inconsistency between the Register and the Duplicate Register, for the purposes of Luxembourg law only, the Duplicate Register shall prevail.

  • The Issuer will maintain an authoritative Register and will procure that the Registrar will maintain the Duplicate Register in respect of the Bonds, in accordance with the provisions of the Agency Agreement.

  • In the event of inconsistency between the Register and the Duplicate Register, the Duplicate Register shall, for purposes of Luxembourg law, prevail.

  • Each time the Register is amended or updated, the Registrar shall send a copy of the relevant Register to the Issuer who will keep an updated copy of the Duplicate Register at its registered office.

  • In the case of Definitive Notes only, each time the Register is amended or updated, the Registrar shall send a copy of the relevant Register to the Issuer who will keep an updated copy of the Duplicate Register at its registered office.
