Optioned Improvements definition

Optioned Improvements means all Improvements to the Surveyor Kits, the subject matter of the Surveyor Kit Patents, or to the Surveyor Kit Technology, in any case that are created, conceived, reduced to practice, developed, or otherwise acquired by IDT following the Effective Date, other than the Licensed Improvements.
Optioned Improvements means all ideas conceived or owned by PRD and/or RICH within the period starting from three years from the Effective Date of this Agreement to the remaining term of this Agreement related to any and all trampoline designs.

Examples of Optioned Improvements in a sentence

  • Within [***] of Avro’s receipt of information from UHN regarding an Improvement Patent(s), Avro may (in its sole discretion) provide Notice to UHN of its intention to exercise the Option with respect to such Improvements Patent(s), such that such Improvements Patents become Optioned Improvements Patents.

  • On UHN’s receipt of such Notice, the Parties shall promptly (and in any event prior to the expiration of the Option Term) execute an amendment to this Agreement to include such Improvements Patents as Optioned Improvements Patents on the existing terms and conditions set forth in this Agreement (which includes, without limitation, the reimbursement of UHN patent costs and expenses).

  • IDT hereby grants to Transgenomic an option to be granted a license to the Optioned Improvements, which license will have a scope substantially identical to the license set forth in Section 4.1. The foregoing option may be exercised at any time by Transgenomic by providing written notice of the same to IDT.

Related to Optioned Improvements

  • Leased Improvements shall have the meaning given such term in Section 2.1(b).

  • Leasehold Improvements means all leasehold improvements situated in or on the Leased Real Property and owned by Seller.

  • Needs Improvement the Educator’s performance on a standard or overall is below the requirements of a standard or overall, but is not considered to be unsatisfactory at this time. Improvement is necessary and expected.  Unsatisfactory: the Educator’s performance on a standard or overall has not significantly improved following a rating of needs improvement, or the Educator’s performance is consistently below the requirements of a standard or overall and is considered inadequate, or both.

  • Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

  • Improvements shall have the meaning set forth in the granting clause of the Mortgage.

  • Minimum Improvements means devoting the Development Property to its intended Use and construction of approximately a square foot parking facility for use as parking for the Developer as identified and set forth in Exhibit C and constructed in accordance with the Construction Plans submitted to and approved by the Authority. After completion of the Minimum Improvements, the term shall mean the Development Property as improved by the Minimum Improvements.

  • Alterations means all changes, additions, improvements or repairs to, all alterations, reconstructions, renewals, replacements or removals of and all substitutions or replacements for any of the Improvements or Equipment, both interior and exterior, structural and non-structural, and ordinary and extraordinary.

  • Tenant Improvements Defined in Exhibit B, if any.

  • Substantial improvement means any combination of repairs, reconstruction, rehabilitation, addition, or other improvement of a structure, taking place during any one-year period for which the cost equals or exceeds 50 percent of the market value of the structure before the “start of construction” of the improvement. This term includes structures which have incurred “substantial damage”, regardless of the actual repair work performed. The term does not, however, include either:

  • Tenant Improvement Work means the construction of the Tenant Improvements, together with any related work (including demolition) that is necessary to construct the Tenant Improvements.

  • Site Improvements means any construction work on, or improvement to, streets, roads, parking facilities, sidewalks, drainage structures and utilities.

  • mixed-use building means a building or structure containing a residential and non- residential use other than a home occupation;

  • Project Improvements means site improvements and facilities that are:

  • Capital Improvements mean the purchase, renovation, rehabilitation, or construction of permanent land, buildings, structures, equipment and furnishings used directly for or in the Project, and any goods or services for the Project that are purchased and capitalized under GAAP, including any organizational costs and research and development costs incurred in Illinois. Capitalized lease costs for land, buildings, structures or equipment shall be included in “Capital Improvements” only if the lease term, including any extensions or options to extend, equals or exceeds the term of this Agreement, and provided that such lease costs are valued at their present value using the corporate interest rate prevailing at the time the Company filed its Application with the Department.

  • Major project means a project comprising of a series of works, activities or services which is intended, in itself, to accomplish a definite and indivisible task of a precise economic or technical nature, which has clearly identified goals and whose total cost exceeds that which is specified in the Framework Agreement;

  • Private Improvements means the improvements to be constructed on the Property that are not Public Improvements.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Quality Improvement means a focus on activities to improve performance above minimum standards and reasonably expected levels of performance, quality and practice.

  • Building Project means the aggregate combined parcel of land on a portion of which are the improvements of which the Premises form a part, with all the improvements thereon, said improvements being a part of the block and lot for tax purposes which are applicable to the aforesaid land.

  • Project means the goods or Services described in the Signature Document or a Work Order of this Contract.

  • Capital Improvement or "Capital Improvement Project" means the acquisition, construction, reconstruction, improvement, planning and equipping of roads and bridges, wastewater treatment facilities, water supply systems, solid waste disposal facilities, and storm water and sanitary collection, storage and treatment facilities of Local Subdivisions, including real property, interests in real property, and facilities and equipment of Local Subdivisions related or incidental thereto.
