Obligations of Trust. The Trust shall have the following obligations under this Agreement:
Obligations of Trust. This Agreement is executed by and on behalf of the Trust and the obligations of the Trust hereunder are not binding upon any of the trustees, officers or shareholders of the Trust individually but are binding only upon the Trust and with respect to the Funds to which such obligations pertain.
Obligations of Trust. The Trust shall fulfill or cause its agents to fulfill the following obligations under this Agreement:
Obligations of Trust. After any termination of this Agreement as above provided with respect to all Trust Shares, and delivery by the Voting Trustee of any stock or other property then held hereunder in exchange for outstanding Voting Trust Certificates as provided in this Section 13, all further obligations or duties of the Voting Trustee under this Agreement or any provision hereof shall cease.
Obligations of Trust. The Trust shall have the following obligations under this Agreement: o to keep JCC continuously and fully informed as to the composition of the Fund's investment portfolio and the nature of all of its assets and liabilities from time to time; o to furnish JCC with a certified copy of any financial statement or report prepared for the Fund by certified or independent public accountants and with copies of any financial statements or reports made to the Fund's shareholders or to any governmental body or securities exchange; o to furnish JCC with certified copies of the minutes of any and all meetings of the Trustees of the Trust, together with any exhibits presented to the Trustees at such meetings; o to furnish JCC with any further materials or information which JCC may reasonably request to enable it to perform its functions under this Agreement; and o to compensate JCC for its services and reimburse JCC for its expenses incurred hereunder in accordance with the provisions hereof.
Obligations of Trust. To enable Sunstone to perform its duties hereunder, the Trust agrees to assume the following obligations:
Obligations of Trust. (a) Fee. Trust will pay to Manager on the last day of each month a fee at an annual rate equal to 0.50% of average net asset of the Portfolio, such fee to be computed daily based upon the net asset value of the Portfolio as determined by a valuation made in accordance with Trust's procedure for calculating Portfolio net asset value as described in the Portfolio's Prospectus and/or Statement of Additional Information. During any period when the determination of the Portfolio's net asset value is suspended by the trustees of Trust, the net asset value of a share of the Portfolio as of the last business day prior to such suspension shall, for the purpose of this Paragraph 2(a), be deemed to be the net asset value at the close of each succeeding business day until it is again determined.
Obligations of Trust. The parties hereto acknowledge that the obligations of ARC hereunder shall not be personally binding upon the ARC Trustee, as trustee of the Trust, or any of the Unitholders of ARC and that any recourse against ARC, the ARC Trustee or any Unitholder of ARC in any manner in respect of any indebtedness, obligation or liability of ARC arising hereunder or arising in connection herewith or from the matters to which this Agreement relates, if any, including without limitation claims based on negligence or otherwise tortuous behaviour, shall be limited to, and satisfied only out of, the Trust Fund (as such term is defined in the ARC Trust Indenture).
