Net Merchandise Revenue definition

Net Merchandise Revenue means the amount equal to all cash consideration from the applicable Orders during the applicable period pursuant to this Agreement, less all taxes, shipping and handling charges, payment tender processing fees, direct out of pocket expenses (e.g., framing, encasing, etc.), wrapping and other value-added service charges and expenses, returns, chargebacks and uncollectable credit card charges. Net Merchandise Revenue shall not include any consideration received from applicable Orders that have been discounted by forty percent (40%) or more. For the sake of clarity, the sale of gift certificates or other stored payment tender will not be included in the calculation of Net Merchandise Revenue hereunder and no revenue share will be payable to Institution hereunder unless or until such gift certificates or other stored payment tender are redeemed through the Online Store.
Net Merchandise Revenue means the amount equal to all cash consideration from the sale of Licensed Merchandise and Institution Sourced Merchandise through the Retail Locations or Orders on the Institution Online Store [OPTION II: and other E-Commerce Sites in Operator’s Network] during the applicable period pursuant to this Agreement, less all taxes, shipping and handling charges, payment tender processing fees, wrapping charges, refunds and returns.

Net Merchandise Revenue means gross revenues actually earned and irrevocably received by XPF from the sale of merchandise bearing Team’s logo or the likeness of its Craft less any and all costs, fees, charges and expenses associated therewith, including, but not limited to, all financing, development, and production costs and fees; interest; a two and one half percent (2.5%) overhead fee; residuals; as well as promotion, marketing, advertising, and distribution expenses, costs, commissions and fees; and all deferments and third party participations, as all computed, accounted and paid in accordance with XPF's standard policies for projects of the relevant type, and shall be subject to any agreement entered into with any financier, distributor, or other third party.
