MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;
Aggregation Group means either a Required Aggregation Group or a Permissive Aggregation Group as hereinafter determined.
SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
Parent Group has the meaning set forth in Section 8.03(c).
Group the Company and its subsidiaries
Parent Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "EMPLOYEE BENEFIT PLAN," within the meaning of Section 3(3) of ERISA which is maintained, contributed to, or required to be contributed to, by Parent or any Affiliate for the benefit of any Parent Employee;
Insurance group means the persons that comprise an insurance holding company system.
Women Business Enterprise (WBE) as used in this policy means a business enterprise that meets all of the following criteria:
the Group means the Company and its subsidiary undertakings (if any); and
Welfare Plan means a “welfare plan” as defined in Section 3(1) of ERISA.
