  • This Separation Agreement may be enforced separately by each member of the Millipore Group and each member of the MMI Group.

  • Millipore shall, without further consideration, pay and remit, or cause to be paid or remitted, to MMI or the appropriate Subsidiary, as the case may be, promptly all money, rights and other consideration received by it or any member of the Millipore Group in respect of such performance.

  • Subject to the foregoing, Millipore shall indemnify and hold the Mykrolis Group harmless against any and all Taxes the Millipore Group is required to bear under this Agreement, including, without limitation, any liability under section 1.1502-6 of the Treasury Regulations.

  • MMI ASSETS SHALL EXCLUDE THE FOLLOWING: (A) the Excluded Assets listed or described on SCHEDULE 1.13(A); (B) the Retained Assets; and (C) any Assets that are expressly contemplated by the Separation Agreement, this Agreement or any other Ancillary Agreement (or the Schedules hereto or thereto) as Assets to be retained by Millipore or any other member of the Millipore Group.

  • If the aggregate amount of all Net Retention Adjustments reported by Subsidiaries in the Millipore Group exceeds the aggregate net amount of all Net Retention Adjustments reported by Subsidiaries in the MMI Group, then MMI shall be charged with a drawdown under the Separation Revolving Credit Agreement in an amount equal to the amount of such excess.

  • This Agreement may be enforced separately by each member of the Millipore Group and each member of the Mykrolis Group.

  • MMI GROUP" means MMI, each Subsidiary and Affiliated Company of MMI (other than any member of the Millipore Group) immediately after the Separation Date or that is contemplated to be a Subsidiary or Affiliated Company of MMI pursuant to the Non-US Plan and each Person that becomes a Subsidiary or Affiliate Company of MMI after the Separation Date.

  • Feature Group A (FGA means calls either originated by, or delivered to, an End User who has purchased switched access FGA service from the interstate or intrastate tariffs of either Party. FGA also includes, but is not limited to, FGA-like services provided by either Party, where calls are originated from and/or delivered to numbers which are assigned to a Rate Center within one LATA but where the Party receiving the call is physically located in a LATA different than the LATA of the Party originating the call.

  • AMC means Annual Maintenance Contract

  • ITT has the meaning given to it in the recitals to this Framework Agreement;

  • SHCP means Secretaría de Hacienda y Crédito Público, the Borrower’s Ministry of Finance and Public Credit.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Work group means a crew or number of crews which work from a common point of assembly and perform work of a similar nature in a defined seniority block. Where more than one (1) work group works from a common point of assembly the work groups will be defined by the Employer.

  • ECC means the amount calculated by Contractor for the total cost of all elements of the Work based on this Agreement available at the time(s) that the ECC is prepared. The ECC shall be based on current market rates with reasonable allowance for overhead, profit and price escalation and shall include and consider, without limitation, all alternates and contingencies, designed and specified by A/E and the cost of labor and materials necessary for installation of Owner furnished equipment. The ECC shall include all the cost elements included in the AACC, as defined above, and shall represent Contractor’s best current estimate of the Guaranteed Maximum Price it will propose for the Project based on the information then available. The ECC shall not include Contractor’s Pre-Construction Phase Fee, A/E’s Fees, the cost of the land and rights-of-way, or any other costs that are the direct responsibility of Owner.

  • Cannabis retailer means any licensed person or entity that purchases or otherwise obtains usable cannabis from cannabis cultivators and cannabis items from cannabis manufacturers or cannabis wholesalers, and sells these to consumers from a retail store, and may use a cannabis delivery service or a certified cannabis handler for the off-premises delivery of cannabis items and related supplies to consumers. A cannabis retailer shall also accept consumer purchases to be fulfilled from its retail store that are presented by a cannabis delivery service which will be delivered by the cannabis delivery service to that consumer.

  • Alloy means a metal consisting of a mixture of a basic metallic element and one or more metallic, or non-metallic, alloying elements.

  • Distribution Network Operator or “DSO” shall mean the operator of a Distribution Network.

  • Critical group means the group of individuals reasonably expected to receive the greatest exposure to residual radioactivity for any applicable set of circumstances.
