MFS Investment Management or "MFS" or any other trademark relating to MFS without the prior written consent of MFS, in which case the Company may use such designation in accordance with consent given. Upon termination of this Agreement for any reason, each party shall cease all use of any such name or mark of the other parties as xxxx as reasonably practicable.

Upon termination of this Agreement for any reason, the Manager shall as soon as practicable but within 30 days thereafter cease and cause the Portfolio to cease all use of the name and xxxx "MFS."
