  • All shares of Earthstone Common Stock issued in exchange for Lynden Shares and Lynden Options pursuant to the Arrangement shall not be subject to trading restrictions subject to, with respect to certain Lynden Shareholders and Lynden Optionholders who are or, at the Effective Time, become affiliates (as defined by Rule 144 of the U.S. Securities Act) of Earthstone, certain restrictions on resale under Rule 144 of the U.S. Securities Act.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Optioned Shares means the common shares of the Company, issuable on exercise of the Option; and

  • Option Plans has the meaning assigned thereto in Section 2.7.

  • Exchangeable Shares means the Exchangeable Shares of the Corporation having the rights, privileges, restrictions and conditions set forth herein.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).

  • Incentive Shares means Shares awarded pursuant to the provisions of Article 12.

  • Common Shares means the common shares in the capital of the Corporation;

  • Newco Shares means the common shares in the capital of Newco;

  • Amalco Shares means the common shares in the capital of Amalco;

  • Acquired Shares has the meaning set forth in the Recitals.

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.
