Launch Quarter definition

Launch Quarter has the meaning set forth in Section 10.3.3(b) (Generic Competition). 1.89 “Licensed Product” means either (a) ARQ-151 or (b) ARQ-154. 1.90 “Licensed Product Improvement” has the meaning set forth in Section 2.8 (Right of First Negotiation). 1.91 “Licensee” has the meaning set forth in the Preamble. 1.92 “Licensee Collaboration Know-How” means any Know-How, other than Licensor Product-Related Program IP and Joint IP, conceived, discovered, developed, generated, invented, or otherwise made in the performance of activities under this Agreement during the Term by Licensee or Representatives of Licensee or its Affiliates or its or their licensees, Sublicensees, or Subcontractors, or any Persons contractually required to assign or license such Know-How to Licensee or any Affiliate of Licensee. 1.93 “Licensee Collaboration Patent Right” means any Patent Right that (a) has a priority date on or after the Effective Date and (b) Covers any invention included in the Licensee Collaboration Know-How. 1.94 “Licensee Collaboration Technology” means the Licensee Collaboration Know- How and Licensee Collaboration Patent Rights. 1.95 “Licensee Indemnitee(s)” has the meaning set forth in Section 13.2 (By Licensor). 1.96 “Licensee Manufacturer” has the meaning set forth in Section 6.2 (Commercial Supply). 1.97 “Licensee Program IP” has the meaning set forth in Section 14.1.2(b) (Ownership of Arising Intellectual Property). 1.98 “Licensee ROFN Negotiation Notice” has the meaning set forth in Section 2.8.2 (Right of First Negotiation). 1.99 “Licensee ROFN Negotiation Period” has the meaning set forth in Section 2.8.2 (Right of First Negotiation). 1.100 “Licensee ROFN Trigger Notice” has the meaning set forth in Section 2.8.2 (Right of First Negotiation). 1.101 “Licensor” has the meaning set forth in the Preamble. 1.102 “Licensor Indemnitee(s)” has the meaning set forth in Section 13.1 (By Licensee).
Launch Quarter is defined in Section 6.12.2.
Launch Quarter means the Calendar Quarter in which Wyeth receives any Regulatory Approval for the sale of the Base Product.

Examples of Launch Quarter in a sentence

  • Within 30 days after the end of each Calendar Quarter, commencing with the Launch Quarter, Wyeth shall report to Neose in accordance with Section 4.4.1 of this Agreement and make a payment to Neose in accordance with Section 4.1 equal to the product of ***% multiplied by the Volume Variance Value.

  • Within 30 days after the end of each Calendar Quarter, commencing with the Launch Quarter, Wyeth shall calculate and include in its report for such quarter delivered to Neose pursuant to Section 4.4.1 the Base Product Volume and the calculation thereof.

  • In the event a royalty rate reduction under this Section 5.6.3 is applied with respect to a Licensed Product in a country during a Calendar Quarter following a Generic Launch Quarter, any royalty reduction previously applied under Section 5.6.2 shall no longer apply with respect to such Licensed Product in such country as of such Calendar Quarter.

  • Contract Quarter means a three-month period that commences on January 1, April 1, July 1, or October 1 and ends on March 31, June 30, September 30, or December 31, respectively.

  • Calendar Quarter means the respective periods of three (3) consecutive calendar months ending on March 31, June 30, September 30 and December 31.

  • Quarter means, unless the context requires otherwise, a fiscal quarter of the Partnership, or, with respect to the fiscal quarter of the Partnership which includes the Closing Date, the portion of such fiscal quarter after the Closing Date.

  • Project Year means the 12 month period beginning from the Effective Date and ending 12 months thereafter and each successive 12 month period following thereafter;

  • Quarterly (1/Quarter) sampling frequency means the sampling shall be done in the months of March, June, August, and December, unless specifically identified otherwise in the Effluent Limitations and Monitoring Requirements table.

  • Contract Year means each period of twelve (12) consecutive months during the Initial Term of this Agreement, with the first Contract Year commencing on the Effective Date, and with each subsequent Contract Year commencing on the anniversary of the Effective Date.

  • Launch Date has the meaning specified therefor in Section 2.02(b) of this Agreement.

  • Forecast Period means the period of three calendar months for which a Forecast is provided;

  • Launch means the intentional ignition of the first-stage motor(s) of the Launch Vehicle intended to place or try to place a Launch Vehicle (which may or may not include any Transfer Vehicle, Payload or crew) from Earth:

  • Financial Quarter means the period commencing on the day after one Quarter Date and ending on the next Quarter Date.

  • Forecast has the meaning set forth in Section 4.1.

  • Program Year means the annual period beginning January 1 and ending December 31.

  • Quarterly Period the period of three months commencing on 1 January, 1 April, 1 July and 1 October.

  • Program Period means the period of time which the department intends to support the program without requiring the recompetition for funds. The program period is specified within the grant application.

  • Calendar Week means any period of seven days starting with the same day as the first day of the First Assignment;

  • Model Year means the CI engine manufacturer’s annual production period, which includes January 1st of a calendar year, or if the manufacturer has no annual production period, the calendar year.

  • Project Milestone means the project milestone set forth in Schedule-J;

  • Gross Profit means the sum produced by adding to the “net profit” the amount of the Insured “standing charges”, or if there be no “net profit”, the amount of the Insured “standing charges” less such a proportion of any net trading loss as the amount of the Insured “standing charges” bears to all the “standing charges” of the business.

  • Royalty Year means, (i) for the year in which the First Commercial Sale occurs (the “First Royalty Year”), the period commencing with the first day of the Calendar Quarter in which the First Commercial Sale occurs and expiring on the last day of the Calendar Year in which the First Commercial Sale occurs and (ii) for each subsequent year, each successive Calendar Year.

  • Baseline Period means the period used to determine the baseline emission rate for each regulated pollutant under OAR 340 division 222.
