Irish Law Share Charge definition

Irish Law Share Charge means an Irish law share charge dated as of the Closing Date, among each Loan Party (other than any Irish Loan Party) that owns Equity Interests of a person incorporated or organized under the laws of Ireland (other than Excluded Securities) and the Collateral Agent, as may be amended, restated, amended and restated, supplemented or otherwise modified from time to time.
Irish Law Share Charge means an Irish law Share Charge to be entered into on or about the date hereof between the Intermediate Parent (company number: 05316808) and the Administrative Agent in respect of the shares of Amryt Pharmaceuticals DAC.

Irish Law Share Charge means the Irish law governed second lien share charge over the shares in the Irish Borrower dated 27 July 2021 between Apex Group Treasury Holdings HK Limited and the Administrative Agent.

Related to Irish Law Share Charge

  • Share Charge shall have the meaning provided in Section 5.06.

  • Hire Charge or “Hire Charges” means the rates and charges payable by You for the hire of the Equipment.

  • Share Certificate means a certificate representing the Shares purchased by and registered in the name of the Subscriber pursuant to the Offering;

If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Share Consideration has the meaning given to it in Section 2.2;

  • Agreed Security Principles means the principles set out in Schedule 11 (Agreed Security Principles).

  • Share Cap has the meaning specified in clause (e) of the definition of Alternative Payment Mechanism.

  • Stock Pledge Agreements means those certain stock pledge agreements, in form and substance reasonably satisfactory to Lender, executed and delivered by Borrower to Lender, as the same may be amended or modified from time to time in accordance with its terms.

  • UK Security Agreement means each of the security documents expressed to be governed by the laws of England (as modified, supplemented, amended or amended and restated from time to time) covering certain of such UK Loan Party’s present and future UK Collateral.

  • Company Charter means the Amended and Restated Certificate of Incorporation of the Company, as amended.
