Independent CPA shall have the meaning set forth in Section 5.7.2 below.

Without the Gaming Board's Approval, the Casino Operator shall not change an Independent CPA who has been engaged to perform the Annual Audit for a Fiscal Year before the Independent CPA has completed the audit of that Fiscal Year. The Independent CPA's engagement arrangements shall require that all audited Persons waive any applicable confidentiality privilege in order to enable the Independent CPA to fully and completely report to the Gaming Board and that the Gaming Board shall have full access to the Independent CPA's workpapers. The Independent CPA shall prepare and deliver to the Gaming Board a management letter that complies with the requirements of the Rules and Regulations and the Internal Control System.
