The Manager is an agent of the Company, and the actions of the Manager taken in such capacity and in accordance with this Agreement shall bind the Company; provided that, for the avoidance of doubt and notwithstanding anything to the contrary set forth in this Agreement, nothing herein shall limit the authority and power which have been expressly delegated to the Independent Manager as set forth in this Agreement.
To the fullest extent now or hereafter permitted by applicable law, neither the Manager nor the Independent Manager shall be liable to the Company for damages for any breach of duty by such Manager or Independent Manager in his capacity as such.
