Incremental Borrowing Base definition

Incremental Borrowing Base means, as of any date determined by Agent, from time to time, an amount equal to the lesser of (a) the sum of (i) 5% of the book value of Borrowers’ Eligible Accounts at such time and (ii) 5% of the NOLV Factor times the book value of Borrowers’ Eligible Inventory at such time, and (b) $15,000,000.
Incremental Borrowing Base means, as of any date determined by Agent, from time to time, an amount equal to the lesser of (a) the sum of (i) 5% of the book value of Borrowers’ Eligible Accounts at such time and (ii) 5% of the NOLV Factor times the book value of Borrowers’ Eligible Inventory at such time, and (b) $4,000,000.
Incremental Borrowing Base. Amount shall have the meaning given to such term in Section 8.20(c) hereof. Indebtedness shall mean, with respect to any Person, (a) all indebtedness of such Person for borrowed money or for the deferred purchase price of property or services (other than trade liabilities incurred in the ordinary course of business and payable in accordance with customary practices) or which is evidenced by a note, bond, debenture or similar instrument, (b) all obligations of such Person under capital leases, (c) all obligations of such Person in respect of letters of credit, banker's acceptances or similar obligations issued or created for the account of such Person, (d) liabilities arising under Interest Rate Agreements and Lumber Hedging Agreements of such Person, (e) all Contingent Obligations of such person and (f) all liabilities secured by any Lien on any property owned by such Person even though such Person has not assumed or otherwise become liable for the payment thereof. Indenture shall mean the Indenture with respect to the Senior Subordinated Notes, dated as of October 15, 1993, between the Borrower and Marine Midland Bank, N.A., as trustee, as amended, supplemented or otherwise modified from time to time with the prior written consent of the Majority Lenders.
