Incremental Facility definition

Incremental Facility has the meaning specified in Section 2.16(a).

Incremental Facility has the meaning assigned to such term in Section 2.20(a).

Incremental Facility as defined in Section 2.1(d).

Examples of Incremental Facility in a sentence

• If the initial Yield (as defined below) on any Incremental Loans exceeds the then applicable Yield on the Loans existing on the Increase Effective Date by more than 50 basis points, then the interest rate margins then in effect for each applicable existing tranche of Loans shall be increased to the extent necessary so that the Yield on the existing Loans is 50 basis points less than the Yield on such Incremental Facility.

• Use the proceeds of (i) any Credit Extension (other than any Incremental Term Loans), whether directly or indirectly, in a manner consistent with the uses set forth in the Preliminary Statements to this Agreement or (ii) any Incremental Term Loans in a manner consistent with the uses set forth in the applicable Incremental Facility Amendment.

• The Incremental Facility created pursuant to this Section 2.20 (and any amendments to this Agreement and the Loan Documents in connection therewith) shall become effective on the date agreed by the Lead Borrower, the Administrative Agent and the relevant Increasing Lenders or Augmenting Lenders, and the Administrative Agent shall notify each Lender thereof.

• Each Incremental Facility shall be in an integral multiple of $1,000,000 and be in an aggregate principal amount that is not less than $10,000,000 in case of Incremental Term Loans or $5,000,000 in case of Incremental Revolving Credit Commitments, provided that such amount may be less than the applicable minimum amount if such amount represents all the remaining availability hereunder as set forth above.

• For the avoidance of doubt, no existing Lender shall have any obligation to provide any portion of any Incremental Facility.

More Definitions of Incremental Facility

Incremental Facility shall have the meaning set forth in Section 2.5.

Incremental Facility means the Incremental Commitments and the Incremental Loans made thereunder.

Incremental Facility means an Incremental Revolving Facility, an Incremental Term Loan A Facility or an Incremental Term Loan B Facility.

Incremental Facility means an Incremental Revolving Facility or an Incremental Term Facility.

Incremental Facility and “Incremental Facilities”: as defined in Subsection 2.6(a).

Incremental Facility means (a) any Incremental Term Facility, (b) any Incremental Revolving Credit Facility, (c) the commitments (if any) of Additional Revolving Lenders to make Incremental Revolving Loans in respect of any Revolving Credit Commitment Increase and the Incremental Revolving Loans in respect thereof and/or (d) the commitments (if any) of Additional Term Lenders to make Incremental Term Loans in respect of any Term Commitment Increase and the Incremental Term Loans in respect thereof.

Incremental Facility means any facility established by the Lenders pursuant to Section 2.20.
