If any Incremental Revolving Commitment is provided to the Borrowers in accordance with this Section, the Administrative Agent and the Borrowers shall determine the effective date (the “Increase Effective Date”) and the final allocation of such Incremental Revolving Commitment.
The effectiveness of any Incremental Revolver Amendment shall be subject to the satisfaction on the date thereof of each of the conditions set forth in Section 2.3(e) and as such other conditions as requested by the Banks under the Incremental Revolving Commitment established in connection therewith.
Any Incremental Revolving Commitment shall be evidenced by an amendment (an “Incremental Revolver Amendment”) to this Agreement, giving effect to the modifications permitted by this Section 2.3 (and subject to the limitations set forth in Section 2.3(e)), executed by the Loan Parties, the Administrative Agent and each Bank providing a portion of the Incremental Revolving Commitment; which such amendment, when so executed, shall amend this Agreement as provided therein.
The Administrative Agent shall promptly notify the Borrowers and the Banks of the final allocation of such Incremental Revolving Commitment and the Increase Effective Date.
Each Bank shall notify the Administrative Agent within such time period whether or not it agrees, in its sole and absolute discretion to provide all or a portion of the Incremental Revolving Commitment and, if so, whether by an amount equal to, greater than, or less than its Applicable Percentage of such Incremental Revolving Commitment.
