Incentive Servicing Fee definition

Incentive Servicing Fee has the meaning set forth in the Management Services Agreement.
Incentive Servicing Fee. With respect to any Collection Period or portion thereof for which FISC is the Servicer, shall be equal to the sum of the quotients, for each day of such Collection Period for which FISC is the Servicer, obtained by dividing an amount equal to 0.5% of the aggregate Principal Balance of the Receivables as of the beginning of such Collection Period by 365 (or 366, as applicable) and with respect to any Collection Period or portion thereof for which FISC is not the Servicer, shall be equal to the sum of the quotients, for each day of such Collection Period for which FISC is not the Servicer, obtained by dividing an amount equal to 0% of the aggregate Principal Balance of the Receivables as of the beginning of such Collection Period by 365 (or 366, as applicable).
Incentive Servicing Fee. As defined in Section 6(a) of the Agreement. LIBOR: Means the rate of interest (adjusted for reserves if Fifth Third is required to maintain reserves with respect to relevant advances) on one month Eurodollar deposits, as reported on page 3750 of the Dow Jxxxx Telerate news service (or any successor) as determined by Fifth Third at approximately 10:00 a.m. Cincinnati, Ohio time on the relevant date of determination. Maximum Facility Limit: Means $50,000,000.

Examples of Incentive Servicing Fee in a sentence

  • The Indenture Trustee shall possess all right, title and interest in all funds on deposit from time to time in the Incentive Servicing Fee Account and in all proceeds thereof.

  • In addition to the Monthly Servicing Fee, the Supplemental Servicing Fee and the Additional Monthly Servicing Fee, there shall also be payable to the Servicer pursuant to subsection 4.16(c) and allocated from Series 2004-One an incentive servicing fee (the “Incentive Servicing Fee”), which shall be equal to one-twelfth of the product of (1) the Incentive Servicing Fee Rate and (2) the Servicing Base Amount.

  • If at any time the Incentive Servicing Fee Account ceases to be an Eligible Deposit Account, the Indenture Trustee (or the Servicer on its behalf) shall within 10 Business Days (or such longer period, not to exceed 30 calendar days, as to which the Indenture Trustee shall consent) establish a new Incentive Servicing Fee Account meeting the conditions specified above as an Eligible Deposit Account, and shall transfer any cash or any investments to such new Incentive Servicing Fee Account.

  • The Servicer shall deposit such funds into the Incentive Servicing Fee Account pursuant to subsection 4.05(a)(viii).

  • On the first Distribution Date after the occurrence of an Event of Default, the Servicer shall cause the Indenture Trustee through written instruction to withdraw all amounts on deposit in the Incentive Servicing Fee Account and distribute such amount to the Paying Agent for pro rata payment of principal on the Class A Notes, the Class B Notes, the Class C-1 Notes and the Class C-2 Notes.

  • The Incentive Servicing Fee Account shall be under the sole dominion and control of the Indenture Trustee for the benefit of the Class A Noteholders, the Class B Noteholders, the Class C Noteholders and, to the extent set forth in this Section 4.16, the Servicer.

Incentive Servicing Fee. As defined in Section 6(a) of the Agreement. Maximum Invoice Tenor The time period set forth after such term on the Period: applicable Schedule A, which represents, in connection with Receivables that BANA has approved for purchase with respect to a specific Approved Account Debtor, the maximum payment terms (i.e., the time period following the invoice date within which the Account Debtor must pay the relevant invoice) afforded such Account Debtor in any invoice evidencing such Receivables.

Related to Incentive Servicing Fee

  • Base Servicing Fee means the fee payable to the Servicer on each Distribution Date for services rendered during the related Collection Period, which shall be equal to one-twelfth of the Servicing Rate multiplied by the Pool Balance as of the close of business on the last day of the immediately preceding Collection Period or, with respect to the first Distribution Date, the Original Pool Balance.

  • Class B Servicing Fee shall have the meaning specified in Section 3.01.

  • Accrued Servicing Fees based upon the Scheduled Principal Balance of the Mortgage Loan as calculated on a monthly basis.

  • Subservicing Fee As to any Mortgage Loan, the fee payable monthly to the related Subservicer (or, in the case of a Nonsubserviced Mortgage Loan, to the Master Servicer) in respect of subservicing and other compensation that accrues at an annual rate equal to the excess of the Mortgage Rate borne by the related Mortgage Note over the rate per annum designated on the Mortgage Loan Schedule as the "CURR NET" for such Mortgage Loan.

  • Excess Servicing Fee For each calendar month, as to each Mortgage Loan, the portion of the related Excess Servicing Fee Rate applicable to such month (determined in the same manner as the applicable Mortgage Rate determined for such Mortgage Loan for such month) multiplied by the Scheduled Principal Balance of such Mortgage Loan immediately before the Due Date occurring in such month, but prorated for the number of days during the calendar month for such Mortgage Loan for which interest actually accrues on such Mortgage Loan and only from collections on such Mortgage Loan.

  • Special Servicing Compensation With respect to any Serviced Mortgage Loan, Serviced Loan Combination or REO Property (other than an REO Property related to an Outside Serviced Mortgage Loan), any of the Special Servicing Fee, the Workout Fee, and the Liquidation Fee which shall be due to the Special Servicer.

  • Investor Servicing Fee means, with respect to any Distribution Date, an amount equal to the product of the Investor Servicing Fee Percentage and the Series Investor Interest on the first day of the Due Period related to such Distribution Date (or in the case of the first Distribution Date for the Series established hereby, the Series Initial Investor Interest).

  • Supplemental Servicing Fee means, with respect to any Collection Period, all administrative fees, expenses and charges paid by or on behalf of Obligors, including late fees, prepayment fees and liquidation fees collected on the Receivables during such Collection Period but excluding any fees or expenses related to extensions.

  • Fund/SERV Eligible Unit Servicing Agent means FTP Services LLC or any successor Fund/SERV Eligible Unit servicing agent appointed as hereinafter provided."
