Definition of HSR Expiration Date

HSR Expiration Date means the date of the expiration or termination of the waiting period under the HSR Act applicable to the consummation of the transactions contemplated hereby.

HSR Expiration Date means the date on which all applicable approvals and waiting periods under the Hart-Scott Rodino Antitrust Improvements Act of 1976 that are required with respect to the conversion and voting rights of the Series A Preferred Stock set forth in this Certificate of Designations shall have been obtained or expired, as applicable, in each case as the shares of Series A Preferred Stock are held as of the Initial Issue Date.
