Hedge Period definition

Hedge Period means the period during which a Hedge Agreement is in effect.
Hedge Period means (where applicable) the period specified in the Final Termsheet.
Hedge Period has the meaning specified in Section 4.28 of the Indenture.

  • Hedge Completion Date: For each Transaction, if a Hedge Event occurs, the Hedging Date on which Bank finishes establishing its initial Hedge Positions in respect of such Transaction, as determined by Bank in its good faith and commercially reasonable discretion, but in no event later than the Hedge Period End Date.

  • If a Hedge Event occurs, the Premium will be determined by reference to the table attached as Exhibit A and shall equal the amount indicated for the corresponding Hedge Period Reference Price as of the Hedge Completion Date and 7-year LIBOR swap rate (the "Interest Rate") on the Hedge Completion Date.

  • Market Disruption Event: The definition of “Market Disruption Event” in Section 6.3(a) of the Equity Definitions is hereby amended by deleting the words “at any time during the one-hour period that ends at the relevant Valuation Time” and inserting the words “at any time on any Scheduled Trading Day during the Hedge Period or Calculation Period or” after the word “material,” in the third line thereof.


More Definitions of Hedge Period

Hedge Period. For each Transaction, the period from, and including, the Hedge Period Start Date to, and including, the Hedge Completion Date for such Transaction. If, at any time during the Hedge Period for any Transaction, the weighted average price at which JPMorgan, or an affiliate of the JPMorgan, has until such time purchased Shares in connection with establishing its initial hedge position with respect to such Transaction equals to or exceeds the Hedging Threshold Price for such Transaction, (i) JPMorgan shall have the right to terminate the Hedge Period for such Transaction as of such time and (ii) the Calculation Agent may make adjustments to the Minimum Share Threshold for such Transaction and any other variable or term relevant to the terms of such Transaction and, for the purposes of calculating the Number of Shares to be Delivered for such Transaction, shall adjust the Prepayment Amount for such Transaction, to preserve the fair value of such Transaction to JPMorgan and ensure that JPMorgan’s, or its affiliate’s, initial theoretical delta for such Transaction is equal to the number of Shares purchased by JPMorgan or such affiliate during the Hedge Period for such Transaction at the time of such termination. Hedge Period Start Date: For each Transaction, as set forth in the related Supplemental Confirmation. Hedge Completion Date: For each Transaction, as set forth in the related Trade Notification, to be the earlier of (x) the Exchange Business Day on which JPMorgan, or an affiliate thereof, completes the establishment of JPMorgan’s initial hedge position with respect to such Transaction, as determined by JPMorgan in its sole discretion and (y) the Hedge Period End Date.
