For purposes of determining Material Debt, the “principal amount” of the obligations of the Borrowers or any Restricted Subsidiary in respect of any Hedging Agreement at any time shall be the Hedging Termination Value.
For purposes of determining Material Debt, the principal of any Hedging Agreement of any Person at any time shall be the Hedging Termination Value that such Person would be required to pay if such Hedging Agreement were terminated at such time.
The amount of any Hedging Termination Value due in respect of the Permitted Hedging Agreements terminated in accordance with this Section 2.14(c) shall be made by the Borrower from amounts available with which to make such prepayment.
The ratio as of any date of (i) Value on such date to (ii) the outstanding principal amount of Loans, LC Obligations and Hedging Termination Value of Lender Hedging Obligations on such date will never be less than 2.00:1.00.
The Borrower fails to pay (i) any interest due with respect to the Obligations, or (ii) any principal or other Obligation, including, without limitation, the Hedging Termination Value under any Bank Hedging Contract, within five (5) Business Days of when due and payable.
