Health Care Permits definition

Health Care Permits means, with respect to any Person, any permit, approval, consent, authorization, license, provisional license, registration, accreditation, certificate, certification, certificate of need, qualification, operating authority, concession, grant, franchise, variance or permission from any Governmental Authority issued or required under applicable Health Care Laws.
Health Care Permits means any and all permits, licenses, authorizations, certificates, certificates of need, accreditations and plans of third-party accreditation agencies that are (a) necessary to enable any Borrower to operate any health care facility or participate in and receive payment under any Government Reimbursement Program or other Third Party Payor Arrangement, as applicable, or otherwise continue to conduct its business as it is conducted on the Closing Date, or (b) required under any Health Care Law.
Health Care Permits means any and all Permits issued or required under applicable Health Care Laws.

  • The Borrower and each of its Subsidiaries holds, and at all times during the four calendar years immediately preceding the Amendment and Restatement Effective Date has held, all Health Care Permits necessary for it to own, lease, sublease or operate its assets or to conduct its business or operations for the period covered by such Health Care Permit, except where the failure to do so would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.

  • All such Health Care Permits are, and at all times during the four calendar years immediately preceding the Amendment and Restatement Effective Date have been, in full force and effect and there is and has been no default under, violation of, or other noncompliance with the terms and conditions of any such Health Care Permit, except where the failure to do so would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.


More Definitions of Health Care Permits

Health Care Permits shall have the meaning set forth in Section 4.20(b).
Health Care Permits means any permit, approval, consent, authorization, license, provisional license, registration, accreditation, certificate, certification, certificate of need, qualification, operating authority, concession, grant, franchise, variance or permission from, and any other contractual obligation with, any Governmental Authority issued or required under applicable Health Care Laws, in each case whether or not having the force of law and applicable to or binding upon such Person or any of its property or to which such Person or any of its property is subject.
Health Care Permits any and all licenses, provisional licenses, JCAHO and/or other accreditations, franchising rights to conduct business, approvals by a Governmental Authority, authorizations, certificates of need, consents, qualifications, operating authority, and/or any other permit that is related to the provision of health care services required by any applicable Governmental Authority or otherwise necessary for any Group Member to operate its business or to own, lease, operate or manage a Health Care Facility of any Group Member.
Health Care Permits has the meaning assigned to such term in Section 3.07(b)(iii).
Health Care Permits means any and all permits, licenses, authorizations, certificates, certificates of need, accreditations and plans of third-party accreditation agencies (such as the Community Health Accreditation Program and the Joint Commission for Accreditation of Healthcare Organizations) that are (a) necessary to enable any Orthofix Entity to provide services, participate in and receive payment under any Medical Reimbursement Program or other Third Party Payor Arrangement, as applicable, or otherwise continue to conduct its business as it is conducted on the Effective Date, or (b) required under any Health Care Law.
Health Care Permits means all permits, approvals, clearances, authorizations, licenses, registrations, certificates, concessions, variances, permissions and exemptions granted by the FDA or any other foreign equivalent Governmental Entity to Seller Group or any subsidiary thereof (including, but not limited to device pre-market clearances, manufacturing approvals and authorizations, EEA Notified Body certificates attesting compliance with requirements needed to affix a CE mark, and labeling approvals or their foreign equivalent).
Health Care Permits means any and all Authorizations issued or required under applicable Health Care Laws as currently enforced by the applicable Governmental Authorities.
