Government Regulatory Entity has the meaning set forth in Section 6.14(b).

"Gross-Up Agreements" means (i) the Agreement, dated as of May 12, 1986, by and among The Pulitzer Publishing Company, a Missouri corporation, and each of the owners of shares of capital stock of The Pulitzer Publishing Company who was a signatory to such Agreement, (ii) the Agreement, dated as of May 12, 1986, by and among The Pulitzer Publishing Company and each of the owners of shares of capital stock of The Pulitzer Publishing Company who was a signatory to such Agreement, (iii) the Agreement, dated as of September 29, 1986, by and among The Pulitzer Publishing Company and each of the parties thereto; and (iv) the Agreement, dated as of September 29, 1986, by and among The Pulitzer Publishing Company and each of the owners of shares of capital stock of The Pulitzer Publishing Company who was a signatory to such Agreement. "Gross-Up Amount" means the amount, if any, due by the Company to any Person with respect to the consummation of the Transactions pursuant to the Gross-Up Agreements. "HSR Act" has the meaning set forth in Section 3.03. "HSR Authority" means either the Department of Justice or the Federal Trade Commission. "Huntleigh" means Huntleigh Securities Corporation. "IRS" means the Internal Revenue Service. "Indebtedness" of any Person means all obligations of such Person (i) for borrowed money, (ii) evidenced by notes, bonds, debentures or similar instruments, (iii) for the deferred purchase price of goods or services (other than trade payables or accruals incurred in the ordinary course of business), (iv) under capital leases and (v) in the nature of guarantees of the obligations described in clauses (i) through (iv) above of any other Person. "Indemnified Party" has the meaning set forth in Section 6.06(h). "Indemnifying Party" has the meaning set forth in Section 6.06(h). "Indemnitee" has the meaning set forth in Section 6.09(e). "Indemnitor" has the meaning set forth in Section 6.09(e). "Joint Proxy Statement/Prospectus" has the meaning set forth in Section 6.06(a). Government Regulatory Entity means any Governmental Entity with regulatory jurisdiction over any Consent required for the consummation of the Transaction, under the HSR Act or under Other Competition Laws.

Examples of Government Regulatory Entity in a sentence

  • Acquiror and Company agree that all telephonic calls, meetings or hearings with a Government Regulatory Entity regarding the Transactions contemplated hereby or any of the matters described in this Section 6.14(b) shall include representatives of each of Acquiror and Company.
