Examples of Global Bearer Note in a sentence

  • Upon exchange of any portion of this Note for an interest in a Permanent Global Bearer Note, the Principal Paying Agent shall cause Schedule A of this Note to be endorsed to reflect the reduction of its principal amount by an amount equal to the aggregate principal amount being so exchanged.

  • Except as otherwise provided herein, until exchanged for a Permanent Global Bearer Note, this Note shall in all respects be entitled to the same benefits under the Senior Indenture as a duly authenticated and delivered Permanent Global Bearer Note.

  • Each of the persons shown in the records of the Relevant Clearing System as owning Notes represented by such Global Bearer Notemust look solely to the Relevant Clearing System for his share of any payment made by the Issuer to or to the order of the holder of the Global Bearer Note.

  • In respect of bearer notes relating to a Series, a Global Bearer Note will be delivered on or prior to the original issue date to Clearstream Banking Frankfurt.

  • For as long as the Notes are represented by a Global Bearer Notedeposited with a central depositoryon behalf of the Relevant Clearing System, the obligations of the Issuer under the Conditions to make payments in respect of the Notes will be discharged by payment to, or to the order of, the holder of the Global Bearer Note, subject to and in accordance with the terms of such Global Bearer Note.

Related to Global Bearer Note

  • Definitive Bearer Note means a Bearer Note in definitive form being in the form or substantially in the form set out in Appendix B-3 hereto (or in such other form as may be agreed between the relevant Issuer, the Agent and the relevant Purchaser or Purchasers) issued or to be issued by the relevant Issuer pursuant to this Agreement in exchange for the whole or (subject to the terms of the relevant Temporary Global Note and/or Permanent Global Note) part of a Temporary Global and/or Permanent Global Note;

  • Bearer Notes means Notes which are specified in their Conditions as being in bearer form;

  • Bearer means anyone in possession from time to time of a Bearer Security.

  • Global Security means a Security issued to evidence all or a part of any series of Securities which is executed by the Company and authenticated and delivered by the Trustee to the Depositary or pursuant to the Depositary’s instruction, all in accordance with the Indenture, which shall be registered in the name of the Depositary or its nominee.

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depositary for such Series or its nominee, and registered in the name of such Depositary or nominee.

  • Definitive Registered Note means a certificated Note registered in the name of the Holder thereof that does not include the Global Notes Legend.

  • Global Note shall have the meaning specified in Section 2.05(b).

  • Registered Notes has the meaning specified in Section 2.1.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.
