First Extension Date definition

First Extension Date has the meaning specified in Section 2.15(a).
First Extension Date means the date that is sixty (60) days after the date of this Agreement; provided, however, that in the event that (i) on or prior to the date that is five (5) Business Days prior to the 60th day after the date of this Agreement, the Buyer Parties have delivered a written notice in accordance with Section 2.4(a) that the Buyer Parties intend that the Initial Closing shall occur on or prior to the 60th day after the date of this Agreement, and (ii) on or prior to the date for the Initial Closing set forth in the notice, the conditions set forth in Sections 10.1.1, 10.1.2 and 10.1.3 (except to the extent waived by the Buyer Parties, in their sole and absolute discretion) shall not have been satisfied, then the “First Extension Date” shall mean the date that is five (5) Business Days following the date on which the conditions set forth in Sections 10.1.1, 10.1.2 and 10.1.3 have been satisfied (except to the extent waived by the Buyer Parties, in their sole and absolute discretion).
First Extension Date shall have the meaning set forth in Section 3.16.

Examples of First Extension Date in a sentence

  • In the event that PG&E has provided the Backstop Party a timely and proper First Extension Notice and this Backstop Commitment Letter remains in full force and effect, PG&E may extend the First Extension Date to the Outside Date (the “Second Extension Date”) upon providing written notice to the Backstop Party of its intent to exercise this option (the “Second Extension Notice”) no later than three days prior to the First Extension Date.

  • The first extension request shall expire if not made on or prior to the First Extension Date and shall not take effect prior to the First Extension Date.

  • In the event that one extension request is exercised and accepted by all Lenders, this Agreement shall be automatically amended as of the First Extension Date to provide that the definition of Termination Date would be extended by one year.

More Definitions of First Extension Date

First Extension Date has the meaning assigned to such term in Section 2.10(e).
First Extension Date means October 9, 2001.
First Extension Date means the first date after the delivery by the Borrowers of the extension notice described above that the conditions set forth in clauses (i) through (v) above are satisfied.
