Purchaser shall not terminate the Offer, or permit the Offer to expire, prior to the Extension Deadline without the prior written consent of the Company.

Subject to the terms and conditions of this Agreement, the Second Lien Administrative Agent and the Second Lien Lenders hereby consent and agree that, should any Borrower (or any Subsidiary or Subsidiaries thereof), acquire a majority ownership interest in Xxxxxxx prior to the expiration of the Extension Deadline, Xxxxxxx shall not be deemed or considered a “Subsidiary” under the terms of the Second Lien Credit Agreement for any purpose until the expiration of the Extension Deadline.
In no event will Merger Sub: (A) be required to extend the Offer beyond the earliest to occur of (1) the termination of this Agreement pursuant to Article IX; (2) the Outside Date; and (3) the final Expiration Date following extension of the Offer in compliance with Section 2.1(d)(i) (such earliest occurrence, the “Extension Deadline”); or (B) be permitted to extend the Offer beyond the Extension Deadline without the prior written consent of the Company.
