The Obligations constitute "Senior Indebtedness" or "Senior Debt" of the Borrower and each Subsidiary Borrower under and as defined in the Existing Subordinated Note Indenture, the Bridge Loan Agreement (if any) and the Senior Subordinated Note Indenture (if any).
