Excluded Expenditures definition

Excluded Expenditures means alcoholic beverages, tobacco, un-manufactured, tobacco refuse, manufactured tobacco (whether or not containing tobacco substitutes), radioactive and associated materials, pearls, precious and semiprecious stones, unworked or worked, nuclear reactors and parts therefor, fuel elements (cartridges), nonirradiated, for nuclear reactors, tobacco processing machinery, jewelry of gold, silver or platinum group metals (except watches and watchcases) and goldsmiths’ or silversmiths’ wares (including set gems), non- monetary gold (excluding gold ores and concentrates).
Excluded Expenditures means, (i) expenditures to the extent they are made with the proceeds of the issuance of Capital Stock of any Loan Party or of any capital contribution to any Loan Party after the Closing Date or with Net Casualty/Condemnation Proceeds or Net Asset Sales Proceeds, (ii) expenditures used for Permitted Acquisitions, (iii) expenditures used for acquisitions of fee owned real estate, up to an aggregate amount of $25,000,000 per Fiscal Year, so long as (a) the Company demonstrates to the satisfaction of the Administrative Agent a viable plan to complete a sale-leaseback of such property within one year of the acquisition thereof and (b) the Administrative Agent approves of the exclusion of such expenditures in its reasonable discretion, provided that if the applicable Loan Party fails to complete a sale-leaseback with respect to such real property within such one-year period, expenditures used for such acquisition of such real property shall be included as a Consolidated Capital Expenditure in the Fiscal Year in which such one year period expires, and (iv) a one-time, non-cash, cumulative, historical adjustment to Consolidated Capital Expenditures recorded in the Fiscal Year ended January 29, 2005.”
Excluded Expenditures means, (i) expenditures to the extent they are made with the proceeds of the issuance of Capital Stock of any Loan Party or of any capital contribution to any Loan Party after the Closing Date or with Net Casualty/Condemnation Proceeds, (ii) expenditures used for Permitted Acquisitions and (iii) expenditures made in connection with Company's investment in Petcetera and ▇▇▇▇▇ ▇▇▇▇▇ to the extent permitted by subsection 7.3(ii).

  • The Recipient undertakes that the proceeds of the Financing shall not be used to finance Excluded Expenditures.

More Definitions of Excluded Expenditures

Excluded Expenditures means (i) expenditures for procurement of works, goods, and services from countries which are not members of ADB; (ii) expenditures for procurement of works, goods, and services from entities sanctioned by ADB; (iii) expenditures for procurement involving high-value contracts as determined under ADB’s Results-Based Lending Policy and its implementing rules; (iv) expenditure for procurement under the small and medium enterprise preference scheme of the Borrower; (v) expenditures for any prohibited investment activities provided in Appendix 5 of SPS; (vi) any other expenditures excluded from financing under ADB’s Results-Based Lending Policy; and (vii) any expenditures on components involving resettlement and/or indigenous peoples risks or impacts within the meaning of the SPS, incurred by the Borrower under NUHM during its Fiscal Year;
Excluded Expenditures means the list of activities not eligible for financing in connection with the Project, as further determined in the POM; including activities affecting international waterways, natural habitats, disputed areas or indigenous peoples; activities involving the conversion or degradation of forest areas; activities involving the involuntary taking of land or involuntary resettlement resulting in relocation or loss of shelter, loss of assets or access to assets, loss of income sources or means of livelihood, or involving the involuntary restriction of access to legally designated parks and protected areas; activities involving the construction or rehabilitation of dams; activities that would be classified as high risk in accordance with the Bank’s policies and procedures.
Excluded Expenditures has the meaning set forth in the definition of “Tiered Capital Call”.

  • Planned Expenditures shall have the meaning provided in the definition of the term Excess Cash Flow.

  • Excluded Expenses means any costs, fees or expenses of the Company or any Company Subsidiary arising out of or relating to any dispute with the Shareholder Representative or otherwise with respect to the terms of this Agreement.

  • Uncovered expenditures means the costs to the health maintenance organization for health care services that are the obligation of the health maintenance organization, for which an enrollee may also be liable in the event of the health maintenance organization's insolvency and for which no alternative arrangements have been made that are acceptable to the commissioner.
