EU Business Employees definition

EU Business Employees means the French EU Business Employee and the UK Employees, collectively.
EU Business Employees means any employee currently employed by Willtek or any Willtek Subsidiary based in any member state of the European Union or who is ordinarily working in any member state of the European Union, in each case, as of the Effective Date.

Examples of EU Business Employees in a sentence

  • Purchaser will provide Seller as soon as reasonably practicable on request with all information it is required to provide by the EU Transfer Regulations in each applicable jurisdiction so that Seller may comply with its obligations to inform and consult with the EU Business Employees under the EU Transfer Regulations.

  • Notwithstanding the foregoing, and except to the extent required by Law, Purchaser shall not be obligated to establish a defined benefit retirement plan or arrangement for any EU Business Employees or any other Transferred Employees.

  • Antennas and their corresponding feed lines must be clearly tagged.

  • Notwithstanding the foregoing, with respect to such EU Business Employees, such employment shall be on terms and conditions that are not less favorable than the terms and conditions of employment provided to the EU Business Employees immediately prior to the Closing Date, regardless of whether by the Conveyed Entity, Sellers, Tyco, or an Affiliate of any of them.

  • With respect to matters described in this Section 5.6, the Sellers and the Conveyed Entities will consult with Purchaser (and will consider in good faith the advice of Purchaser) prior to sending any notices or other communication materials to the EU Business Employees and will use commercially reasonable efforts to have Tyco consult with Purchaser in the same manner.

  • The Purchaser shall cause the Conveyed Entities to continue the employment of each of the EU Business Employees with effect from the Closing Date, as provided in the Transfer Regulations as they would have applied to Sellers had the transactions contemplated by this Agreement not occurred or any applicable Laws.

  • Buyer shall be responsible for any severance liability in connection with the E.U. Business Employees.

  • If any EU Business Employees or any other Transferred Employees were covered by a defined benefit arrangement of Sellers or Tyco immediately prior to the Closing, Purchaser shall establish as of the Closing Date, a defined contribution arrangement for the benefit of such employees that provides reasonably comparable benefits, taking into account the difference in plan design, or such greater benefits as may be required by Law.

  • Thereafter, E.U. Business Employees will be eligible to participate in the Buyer's severance plan recognizing combined service with the Seller (and its Affiliates) and Buyer.

  • The housing price in Germany keeps a stable trend for several years, and the demand and supply is relatively balanced.

Related to EU Business Employees

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Former Employees means a former member of management of Icahn Enterprises (or any of its Subsidiaries (including any Guarantors)), other than the Principal, who voluntarily or upon any other termination is no longer employed by any of Icahn Enterprises or any of its Subsidiaries (including any Guarantors) and who holds Equity Interests that are required to be redeemed or purchased pursuant to any contractual requirements upon such termination of employment.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each “employee benefit plan,” within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Union Employees has the meaning set forth in Section 6.12(a).

  • Company Employee means any current or former employee, independent contractor or director of the Company or any Company Affiliate.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Group Business Entity means;

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Casual Employees means employees who are employed on a casual basis and includes persons who are employed for periods not exceeding five days at any one time.
