Eligible Cash Collateral definition

Eligible Cash Collateral means Cash and Cash Equivalents over which the Secured Parties have a valid and perfected First Priority Lien, created under the Collateral Documents.

More Definitions of Eligible Cash Collateral

Eligible Cash Collateral means the cash or Cash Equivalents, in each case denominated in United States Dollars, of a Borrower which are: (a) pledged by such Borrower to Agent pursuant to the Cash Collateral Control Agreement, in form and substance reasonably satisfactory to Agent and duly authorized, executed and delivered by such bank or financial intermediary and such Borrower; (b) free and clear of any lien, security interest, claim or other encumbrance or restriction, except for (i) liens in favor of Agent and (ii) liens of the financial intermediary holding such cash or Cash Equivalents that are expressly permitted by the Cash Collateral Control Agreement; (c) subject to the first priority, valid and perfected security interest and pledge in favor of Agent, except (as to priority) for liens in favor of the financial intermediary holding such cash or Cash Equivalents to the extent such liens are expressly permitted to have priority by the Cash Collateral Control Agreement; and (d) available to such Borrower without condition or restriction except those arising pursuant to the pledge in favor of Agent; provided, that, no cash or Cash Equivalents shall constitute Eligible Cash Collateral prior to the date (if any) on which Agent shall have consented to the request by Borrowers to include Eligible Cash Collateral in the Borrowing Base.
Eligible Cash Collateral means only such cash and Cash Equivalents that are unrestricted and that are in an account in which the Collateral Agent has a valid and perfected first priority lien (except to the extent of Permitted Liens and other Liens created or permitted by the Loan Documents) or first priority security interest (except to the extent of Permitted Liens and other Liens created or permitted by the Loan Documents) for the benefit of the Secured Parties securing the Secured Obligations, to the extent such a Lien is required to be granted under the Loan Documents.
Eligible Cash Collateral means, as of any date of determination, any Dollars or Cash Equivalents of the Credit Parties (other than those of the type specified in clause (vii) of the definition thereof) that are (a) held in a segregated and fully-blocked Controlled Account with the Administrative Agent (i) from which funds cannot be withdrawn unless the requirements in Section 2.7 are satisfied and (ii) which exclusively contains such Eligible Cash Collateral and (b) not subject to Liens other than Liens in favor of the Administrative Agent for the benefit of the Secured Parties and Permitted Liens attaching by operation of law in favor of the applicable depository bank. For the avoidance of doubt, Eligible Cash Collateral does not include any amounts posted to Cash Collateralize Letters of Credit.
Eligible Cash Collateral means Cash and US Treasuries on deposit in the US Accounts or otherwise subject to a perfected first priority security interest for the benefit of the Administrative Agent on behalf of the Lenders.
Eligible Cash Collateral means cash maintained in a Blocked Account and cash or Cash Equivalents maintained in a Blocked Securities Account.
