EdisonLearning Products definition

EdisonLearning Products means certain software, web services and other educational content, as well as associated materials, including textbooks, pamphlets, presentations, syllabi, curricula, documentation, workbooks, and other written, oral, audio-visual, electronic or printed materials, and accompanying support services, to which Authorized Users have access under this Agreement, as set forth in the Product Schedule. The EdisonLearning Products licensed hereby may include access to online educational content from certain third-parties.

Examples of EdisonLearning Products in a sentence

  • EdisonLearning warrants to the Licensee that the EdisonLearning Products, when installed, configured, used and maintained in accordance with EdisonLearning’s then-current published installation, configuration, use and maintenance specifications, will, in its unaltered form, conform substantially to EdisonLearning’s then-current published functional specifications for such EdisonLearning Products.

  • Customer shall not to permit any person or entity other than Authorized Users to access or use any EdisonLearning Products and shall not permit any Authorized User to access or use EdisonLearning Products unless such Authorized User has agreed to the EULA.

  • If any EULA is terminated independently of this Agreement, the rights and license granted under the EULA shall immediately cease and the applicable Authorized User shall immediately cease all use of EdisonLearning Products.

  • Licensee grants EdisonLearning a royalty-free, fully paid-up, non-exclusive, perpetual, irrevocable, worldwide, transferable, sub-licensable license to copy, modify, distribute and otherwise use any suggestions, enhancement requests, recommendations or other feedback provided by Licensee relating to the EdisonLearning Products or their operation.

  • EdisonLearning reserves the right at any time, in its discretion, for any reason and without prior notice, to change, suspend or discontinue any aspect of the EdisonLearning Products.

  • In consideration for EdisonLearning’s performance under this Agreement, during the Initial Term, Customer shall pay EdisonLearning the fees for the EdisonLearning Products set forth in Product Schedule (the “Fees”) in accordance with, and subject to, the terms set forth in this Agreement.

  • EdisonLearning does not warrant that the EdisonLearning Products will meet Licensee's requirements, that the EdisonLearning Products will operate in combinations selected for use by Licensee or that use of the EdisonLearning Products will be uninterrupted.

  • Customer acknowledges that EdisonLearning Products are licensed and not sold under this Agreement, and that EdisonLearning hereby reserves and retains all rights not expressly granted in this Agreement.

  • Upon termination of this License Agreement, Licensee shall immediately discontinue the use of the EdisonLearning Products and at EdisonLearning’s option, return to EdisonLearning and/or certify destruction of the EdisonLearning Products and any related materials provided to Licensee by EdisonLearning, and all full or partial copies thereof (whether in tangible or intangible form), in Licensee’s possession or control.

  • Hemp products means all products made from industrial hemp,

If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.
