Deemed Approval Process definition

Deemed Approval Process is defined in Section 35.
Deemed Approval Process means, with respect to a request by Tenant to Landlord for approval of or consent to a particular item under this Lease that requires Xxxxxxxx’s approval or consent hereunder, that (a) Landlord shall not unreasonably withhold, condition or delay such approval or consent; (b) Landlord shall grant or deny such request within 12 Business Days following Tenant’s request; (c) any denial shall specify the reasons for such denial (which must be consistent with the terms of this Lease) and, if applicable, any proposed modifications that will render Tenant’s request acceptable; and (d) Landlord’s failure to respond within such 12 Business Day period (or other expressly stated period) shall toll any of Tenant’s deadlines for performance under this Lease for which the applicable consent or approval is required from the expiration of the 12 Business Day period until such time that a response from Landlord is received. Moreover, Xxxxxxxx’s failure to respond within an additional eight Business Days after receipt of a second notice of the delay from Tenant shall be deemed approval (and consent to Xxxxxx’s request shall be deemed given), provided that such second notice provides explicit notice of such deemed approval and states “FINAL NOTICE” in bold, all caps text. Notwithstanding the foregoing, in either of the following two circumstances, Xxxxxxxx’s failure to respond prior to the aforementioned deadlines shall not constitute a deemed approval, but shall toll any of Tenant’s deadlines for performance under this Lease as herein provided until Xxxxxxxx’s response has been received: (1) in the event that Landlord (x) determines, in its reasonable discretion, that it will require additional time to review Tenant’s submittal, and (y) provides Tenant with written notice, prior to Landlord’s second and final response deadline, of such determination and the amount of additional time that Landlord will reasonably require; or (2) in the event that Landlord determines, in its reasonable discretion, that the approval of the City Commission is legally required for the approval or consent at issue.
Deemed Approval Process means, with respect to any request by Developer to City for approval of or consent to a particular item under this Agreement that requires City’s approval or consent hereunder, that (a) City shall not unreasonably withhold, condition or delay such approval or consent, (b) City shall grant or deny such request within 12 Business Days following Developer’s request; (c) any denial shall specify the reasons for such denial (which must be consistent with the terms of this Agreement) and, if applicable, any proposed modifications that will render Developer’s request acceptable; and (d) City’s failure to respond within such 12 Business Day period (or other expressly stated period) shall toll any of Developer’s deadlines for performance under this Agreement for which the applicable consent or approval is required (including without limitation the Longstop Commencement Date) from the expiration of the 12 Business Day period until such time that pending response from City is received. Moreover, City’s failure to respond within an additional eight Business Days after receipt of a second notice of the delay from Developer, shall be deemed approval (and consent to Developer’s request shall be deemed given), provided that such second notice provides explicit notice of such deemed approval and states “FINAL NOTICE” in bold, all caps text. Notwithstanding the foregoing, in either of the following two circumstances, the City’s failure to respond prior to the aforementioned deadlines shall not constitute a deemed approval, but shall toll any of Developer’s deadlines for performance under this Agreement as herein provided until the City’s response has been received:

Examples of Deemed Approval Process in a sentence

  • Any changes to the Conceptual Site Plan that constitute a Material Design Change are subject to City’s prior review and approval in its proprietary capacity under this Agreement, which shall be rendered in accordance with the Deemed Approval Process and this Article 5.

  • Landlord shall approve or request modifications to the Mitigation Plan in Landlord’s reasonable discretion, provided that (x) any requested modifications shall be customary and consistent with comparable construction projects, and (y) Landlord’s approval shall be subject to the Deemed Approval Process.

  • Following TAC approval of the Master Development Plan and plat, if required by Broward County, and prior to applying for any building permits for the construction of the Public Facilities of the Project, Developer shall obtain City’s written approval (or by the Deemed Approval Process) pursuant to the procedures set forth in this Section.

Related to Deemed Approval Process

  • Required Approval has the meaning specified in Section 2.2(b).

  • Approved/Approval means the approval in writing.

  • Bidding Process means the procurement procedure under which sealed bids are invited, received, opened, examined and evaluated for the purpose of awarding a contract;

  • Required Approvals shall have the meaning ascribed to such term in Section 3.1(e).

  • RFP Process or “Bidding Process” means the process governing the submission and evaluation of the Bids as set out in the RFP itself;

  • Final Approval Order means the order and final judgment approving the Settlement Agreement, implementing the terms of this Settlement Agreement, and dismissing the Class Action with prejudice, to be proposed by the Settling Parties for approval by the Court, in substantially the form attached as Exhibit 5 hereto.

  • Initial approval means authorization to admit students and enter into contractual agreements for clinical facilities. It is granted only after an application has been submitted, reviewed and a survey visit made by the Board. No students shall be admitted to the program until the institution has received written notification that initial approval has been granted. Failure to comply will delay initial approval.

  • Approval Notice means, with respect to any Eligible Loan Asset, the written notice, in substantially the form attached hereto as Exhibit A, evidencing the approval by the Agent, in its sole discretion, of the conveyance of such Eligible Loan Asset by the Transferor to the Equityholder pursuant to the terms of the First Tier Purchase and Sale Agreement and by the Equityholder to the Borrower pursuant to the terms of the Second Tier Purchase and Sale Agreement and the Assignments by which the Transferor effects such conveyance.

  • Approval Application means a BLA, NDA or similar application or submission for a Product filed with a Regulatory Authority in a country or group of countries to obtain marketing approval for a biological or pharmaceutical product in that country or group of countries.

  • Final Approval Hearing means the hearing before the Court where the Parties will request the Final Judgment to be entered by the Court approving the Settlement Agreement, the Fee Award, and the incentive award to the Class Representative.

  • MAA Approval means approval by the EMEA of a marketing authorization application (“MAA”) filed with the EMEA for the applicable Licensed Product under the centralized European procedure. If the centralized EMEA filing procedure is not used, MAA Approval shall be achieved upon the first Approval for the applicable Licensed Product in any two of the following countries: France, Germany, Italy, Spain or the United Kingdom.

  • IRB approval means the determination of the IRB that the research has been reviewed and may be conducted at an institution within the constraints set forth by the IRB and by other institutional and federal requirements.

  • Full Notice to Proceed means that all material third party contractors have been given the notice to proceed with construction by the Capacity Market Seller or its agent, with a guaranteed completion date backed by liquidated damages.

  • Final Approval Order and Judgment means the order in which the Court certifies the Settlement Class, grants final approval of this Settlement Agreement, authorizes the entry of a final judgment, and dismisses the Action with prejudice.

  • Required Appraisal shall have the meaning provided in Section 8.11(g).

  • Final Approval means the Court’s order granting final approval of the Settlement.

  • Approval Letter means the letter from WRAS to the Applicant confirming the grant of WRAS Approval in respect of a Product;

  • Conditional approval means a time-limited status that results when an approved nursing education program has failed to maintain requirements as set forth in this chapter.

  • Manufacturing Process means any process for—

  • Proposed Change Order (PCO means a document that informs Contractor of a proposed change in the Work and appropriately describes or otherwise documents such change including Contractor’s response of pricing for the proposed change.

  • Special Approval means approval by a majority of the members of the Conflicts Committee.

  • Disclosure Statement Approval Order means the Final Order approving, among other things, the adequacy of the Disclosure Statement pursuant to section 1125 of the Bankruptcy Code.

  • Collaborative law process means a procedure intended to resolve a collaborative matter without intervention by a tribunal in which persons sign a collaborative law participation agreement and are represented by collaborative lawyers.

  • Sale Order means an order or orders of the Bankruptcy Court in form and substance reasonably acceptable to Buyer and Seller approving this Agreement and all of the terms and conditions hereof, and approving and authorizing Seller to consummate the Transactions.

  • E-Auction Process Information Document means this document including all the appendices hereto, for the purposes of setting out the process for submission of a bid and selection of Successful Bid in accordance with the provisions of the IBC and shall include all supplements, modifications, amendments, alterations or clarifications thereto issued in accordance with the terms hereof.

  • Regulatory Approval Application means an application to seek regular or expedited Regulatory Approval of the Licensed Product for sale or marketing in any country(ies) or Region(s) in the Territory, as defined in the applicable Laws and filed with the Regulatory Authority of such country(ies) or Region(s).
