Council Conflict Matter definition

Council Conflict Matter means the matters listed below (being matters where theCouncil Nominees or the Council (as the case may be) shall be considered to have a conflict):-
Council Conflict Matter. Sub-section (a) is amended to read as follows: “any decision by the LABV to enforce any of the rights of the LABV in relation to the Council Loan and/or the Council Loan Notes and/or a loan by the Council under clause 6.5.3;”

Examples of Council Conflict Matter in a sentence

  • Where there is a Council Conflict Matter in relation to the HDV to be considered by the Members, the Council (represented by a duly authorised person) shall be entitled to attend and speak at a Members' Meeting at which the Council Conflict Matter is considered but shall not be entitled to count in the quorum for or vote on the Council Conflict Matter (whether the vote is taken at the Members' Meeting or otherwise).

  • Teacher mentors are selected to offer assistance and guidance to allow for a smooth transition for the novice teacher.

  • Where there is a Council Conflict Matter to be considered by the HDV Board, the Council Nominees shall be entitled to attend and speak at the HDV Board Meeting considering the Council Conflict Matter but shall not be entitled to count in the quorum or vote on the Council Conflict Matter (whether the vote is taken at an HDV Board Meeting or otherwise).

  • In such circumstances, Clause 8.4 shall apply save that, in respect of the Council Conflict Matter, a minimum of two PSP Nominees shall constitute a quorum, the Council Nominees shall have no vote and the PSP Nominees shall have one collective vote and the resolution shall be passed only where the collective vote of the PSP Nominees is exercised in favour of the resolution.

  • Subject Matter Expert means a person who has working or expert knowledge about a particular topic or field.

  • Potential conflict of interest means any action or any decision or recommendation by a person acting in a capacity as a public official, the effect of which could be to the private pecuniary benefit or detriment of the person or the person’s relative, or a business with which the person or the person’s relative is associated, unless the pecuniary benefit or detriment arises out of the following:

  • Personal conflict of interest means a situation in which a covered employee has a financial interest, personal activity, or relationship that could impair the employee’s ability to act impartially and in the best interest of the Government when performing under the contract. (A de minimis interest that would not “impair the employee’s ability to act impartially and in the best interest of the Government” is not covered under this definition.)

  • Subject Matter Experts has the meaning set forth in Section II.A.2.

  • Secret Matter means any matter connected with or arising out of the performance of this Call Off Contract which has been, or may hereafter be, by a notice in writing given by the Customer to the Supplier be designated 'top secret', 'secret', or 'confidential';

  • Conflict of Interest Policy means the Bank’s prevailing policy regarding conflicts of interest which is available at the website of the bank;

  • Organizational Conflict of Interest means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. "Person" as used herein includes Corporations, Partnerships, Joint Ventures, and other business enterprises.

  • Subject Matter means the Unit as finally described in the Sectional Plan, read together with the Register;

  • Conflict of Interest means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the State, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage.

  • Actual conflict of interest means any action or any decision or recommendation by a person acting in a capacity as a public official, the effect of which would be to the private pecuniary benefit or detriment of the person or the person's relative or any business with which the person or a relative of the person is associated unless the pecuniary benefit or detriment arises out of circumstances described in subsection (7) of this section.”

  • Academic and professional matters means the following policy development and implementation matters:

  • Licensed Subject Matter means Patent Rights and/or Technology Rights.

  • Agreement Disputes shall have the meaning set forth in Section 6.1.

  • Litigation support contractor means a contractor (including its experts, technical consultants, subcontractors, and suppliers) providing litigation support under a contract that contains the clause at 252.204-7014, Limitations on the Use or Disclosure of Information by Litigation Support Contractors.

  • Resolve and the correlative terms, “Resolved”, “Resolving” and “Resolution” each means that the Services are restored to a point where the Customer can perform their job. In some cases, this may only be a work around solution until the root cause of the Error or Unplanned Disruption is identified and corrected (the need for restoration of normal service supersedes the need to find the root cause of the incident).

  • Particulate matter means any airborne finely divided solid or liquid material with an aerodynamic diameter smaller than 100 micrometers.

  • Dispute means any dispute, controversy, claim or difference of whatever nature arising out of, relating to, or having any connection with this Agreement, including a dispute regarding the existence, formation, validity, interpretation, performance or termination of this Agreement or the consequences of its nullity and also including any dispute relating to any non-contractual rights or obligations arising out of, relating to, or having any connection with this Agreement.

  • Conflict Minerals means: (i) columbite-tantalite (coltan), cassiterite, gold, wolframite, or their derivatives, which originate in the Democratic Republic of the Congo or a country that shares an internationally recognized border with the Democratic Republic of the Congo; or (ii) any other mineral or its derivatives determined by the Secretary of State of the United States to be financing conflict in the Democratic Republic of the Congo or a country that shares an internationally recognized border with the Democratic Republic of the Congo.

  • Litigation means any action, suit or proceeding before any court, mediator, arbitrator or Governmental Authority.

  • Law firm means both of the following:

  • transitional matter means a matter that needs to be dealt with for the purpose of effecting the transition from the provisions of the Acts amended by this Act as in force before this Act comes into operation to the provisions of those Acts as in force after this Act comes into operation.

  • Disagreement means a difference of opinion between personnel of a reporting issuer responsible for finalizing the reporting issuer’s financial statements and the personnel of a predecessor auditor responsible for authorizing the issuance of audit reports on the reporting issuer’s financial statements or authorizing the communication of the results of the auditor’s review of the reporting issuer’s interim financial report, if the difference of opinion

  • Letter of Understanding means the written agreement signed by the School District and the Architectural Designer that describes, attaches, incorporates, or explains the Scope or Scope of Work, the Task Order, the Project Schedule or Work Schedule, the basis of the applicable Fee method, and other requirements for individual Projects assigned by the School District.

  • Collaborative matter means a dispute, transaction, claim, problem, or issue for resolution, including a dispute, claim, or issue in a proceeding, that is described in a collaborative law participation agreement and arises under the family or domestic relations law of this state, including any of the following:

  • Disputes shall have the meaning set forth in Section 7.1.

  • Conflict means a situation in which a director has or can have, a direct or indirect interest that conflicts or possibly may conflict, with the interests of the Company;
