Corporate Overhead definition

Corporate Overhead has the meaning ascribed to it in Schedule C (Charges and Invoicing);
Corporate Overhead means Exult's general and administration costs.
Corporate Overhead for any period, all general and administrative ------------------ expenses of the Borrowers and their Subsidiaries for such period not solely attributable to an individual Station or group of Stations. For the purpose of illustration (and not for the purpose of limiting the foregoing), Corporate Overhead shall include the general and administrative expenses of the headquarters office of Entravision, the salaries of its officers, lease expenses for its headquarters office and the legal and accounting expenses relating to Entravision, and Acquisitions by Entravision, and not relating solely to any Station or group of Stations.

More Definitions of Corporate Overhead

Corporate Overhead means (i) all expenses of Paradise (inclusive of interest charges paid by Paradise but offset by interest income received by Paradise), (ii) without consideration for income taxes of any kind attributable to the Company or its operations, and (iii) exclusive of "extraordinary items" (as hereafter defined) all as computed in accordance with GAAP. For purposes hereof, the term "extraordinary items" shall mean all expenses (in the aggregate amount of $10,000 or more) incurred by Paradise outside of the normal course of business, including, by way of example and without limitation, expenses relating to financing, acquisition or divestment transactions, leasehold improvements, capital expenditures and the like. For purposes hereof, the good faith determination of the Compensation Committee of the Board of Directors of Paradise (after consultation with Employers' accountants) as to which expenses shall be deemed to be "extraordinary items" shall be binding upon the Executive. It is acknowledged and understood that the Executive shall have the discretion to allocate some or all of the Company Bonus to other employees of the Company, Paradise, or any subsidiaries thereof. The Company Bonus shall be payable promptly after the amount thereof has been calculated by the Employers' accountants.
Corporate Overhead means, for any period, all amounts paid or incurred by the Borrower and its Consolidated Subsidiaries (determined on a consolidated basis) during such period in respect of all items of general corporate overhead and administrative expenses and the like including, without duplication, (x) all amounts payable by the Borrower or any of its Consolidated Subsidiaries to any of its Affiliates during such period in respect of items that would constitute general corporate overhead or administrative expense of the Borrower if paid or incurred by the Borrower and (y) all Management Fees.
Corporate Overhead means (i) accounting and audit costs and expenses incurred by the Parent in the ordinary course of its business in connection with preparing consolidated and consolidating financial reports and tax filings, (ii) fees and expenses incurred by the Parent in connection with SEC and other regulatory matters, (iii) fees and expenses relating to the corporate maintenance of the Parent, (iv) outside director fees incurred by the Parent, (v) costs and expenses payable by the Parent for director and officer insurance or in connection with pending or threatened legal action, (vi) transfer agent fees payable in connection with capital stock of the Parent, (vii) proxy solicitation costs incurred by the Parent, (viii) franchise taxes and other fees payable to the jurisdictions of incorporation or qualification of the Parent, (ix) other similar costs and expenses of the Parent incurred in the ordinary course of conducting its business; provided, that in no event shall Corporate Overhead include officers’ and other employees’ fees, salaries, bonuses, debt service and dividends and other distributions in respect of the capital stock of the Parent.
Corporate Overhead means payments made in cash by CC or COI in connection with the supervision and management of the businesses and operations of Borrowers including, without limitation, in respect of compensation for executive officers and other employees of CC and/or COI who participate in such supervision and management, and financial, accounting, legal, computer service, insurance and other similar payments made in cash relating thereto, in all such cases being reasonable in amount.
