Controller Affiliates definition

Controller Affiliates means any of Client's Affiliate(s): (a) (i) that are subject to Data Protection Laws of the EEA, and (ii) permitted to use the Services pursuant to the Agreement between Client and Gainsight, but have not signed their own ordering document and are not a “Client” as defined under the Agreement, (b) if and to the extent Gainsight processes Client Data for which such Affiliate(s) qualify as the controller.
Controller Affiliates means any of Customer's Affiliate(s): (a) (i) that are subject to Data Protection Laws of the EEA, and (ii) permitted to use the Services pursuant to the Agreement between Customer and Cledara, but have not signed their own ordering document and are not a “Customer” as defined under the Agreement, (b) if and to the extent Cledara processes Customer Data for which such Affiliate(s) qualify as the controller.
Controller Affiliates means any of Client's Affiliate(s): (a) (i) that are subject to Data Protection Laws of the EEA, and (ii) permitted to use the Services pursuant to the Agreement between Client and Ditat, but have not signed their own ordering document and are not a “Client” as defined under the Agreement, (b) if and to the extent Ditat processes Client Data for which such Affiliate(s) qualify as the controller.

Examples of Controller Affiliates in a sentence

  • Customer’s Data Controller Affiliates will not bring a claim directly against Data Processor.

  • All access to and use of the Services by Controller Affiliates must comply with the terms and conditions of the Agreement and any violation of the terms and conditions of the Agreement by a Controller Affiliate shall be deemed a violation by Customer.

  • The Standard Contractual Clauses and the additional terms specified in this Exhibit A apply to (i) the legal entity that has executed the Standard Contractual Clauses as a data exporter and its Controller Affiliates and, (ii) all Affiliates of Customer established within the European Economic Area, Switzerland and the United Kingdom, which have signed Order Forms for the Services.

  • Each party’s and all of its Affiliates’ liability, taken together in the aggregate, arising out of or related to this DPA, and all DPAs between Controller Affiliates and PandaDoc, whether in contract, tort or under any other theory of liability, is subject to the “Limitation of Liability” section of the Agreement, and any reference in such section to the liability of a party means the aggregate liability of that party and all of its Affiliates under the Agreement and all DPAs together.

  • For the avoidance of doubt, the total liability of PandaDoc (and its Affiliates, if any) for all claims from the Customer and all of its Controller Affiliates arising out of and/or related to the Agreement and each DPA shall apply in the aggregate for all claims under the Agreement and all DPAs established under the Agreement, including by Customer and all Controller Affiliates.

  • The Customer that is the contracting party to the Agreement shall remain responsible for coordinating all communication with Red Guava under this DPA and be entitled to make and receive any communication in relation to this DPA on behalf of its Controller Affiliates.

  • All access to and use of the PandaDoc products and/or services by Controller Affiliates must comply with the terms and conditions of the Agreement and any violation of the terms and conditions of the Agreement by a Controller Affiliate shall be deemed a violation by Customer and Customer shall be liable for such violation.

  • The Customer that is the contracting party to the Agreement shall remain responsible for coordinating all communication with PandaDoc under this DPA and be entitled to make and receive any communication in relation to this DPA on behalf of its Controller Affiliates.

Controller Affiliates means any of Licensee's Affiliate(s): (a) (i) that are subject to Data Protection Laws of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (ii) permitted to use the Service pursuant to the Agreement between Licensee and Rebilly, but have not signed their own Sales Order and are not a “Licensee” as defined under the Agreement, (b) if and to the extent Rebilly processes Licensee Data for which such Affiliate(s) qualify as the Controller.

Related to Controller Affiliates

  • Affiliates means, with respect to any Person, any other Person that, directly or indirectly, controls, or is controlled by, or is under common control with, such Person. As used in this definition, “control” (including, with its correlative meanings, “controlled by” and “under common control with”) shall mean the possession, directly or indirectly, of the power to direct or cause the direction of management or policies of a Person, whether through the ownership of securities or partnership or other ownership interests, by contract or otherwise.

  • Data Controller shall have the same meaning as set out in the Data Protection Act 1998;

  • Senior Management Personnel means personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management one level below the executive directors, including all functional heads.

  • Controller means the entity which determines the purposes and means of the Processing of Personal Data.
