Company Debt Documents definition

Company Debt Documents means, collectively: (i) the “Loan Documents” as defined in the Senior Credit Agreement and (ii) any other debt security, note, indenture, loan document or credit agreement to which the Company is party, together with any ancillary agreements related thereto. “Event of Default” has the meaning given to such term in the Senior Credit Agreement and shall have meaning given to the analogous terms set forth in any other Company Debt Documents.

Company Debt Documents means, collectively, the (i) Floating Rate Senior Secured Note Due 2022, dated as of June 3, 2019, by and between the Company and Covance Preclinical Corporation (as may be amended from time to time), (ii) Credit Agreement, dated as of November 4, 2020, by and among the Company, the other guarantors party thereto and Harbor Bankshares Asset Management, LLC, and (iii) Second Lien Credit Agreement, dated as of November 4, 2020, by and among the Company, the other guarantors party thereto and Birch Grove Capital LP and the other lenders party thereto.

Company Debt Documents means the Senior Credit Agreement and the Subordinated Note and Warrant Purchase Agreement. “Company Financial Statements” has the meaning set forth in Section 4.5(a).

Examples of Company Debt Documents in a sentence

• This Agreement may be amended or modified, or any provision hereof may be waived, provided that such amendment or waiver is set forth in a writing executed by the parties; and provided further that so long as the Company Debt Documents remain in effect, the provisions of Section 6 hereof shall not be modified without the written approval of the Required Lenders (as defined in the Senior Credit Agreement).

• The Resorts Group Companies are presently subject to no Indebtedness other than the Indenture Notes, the Operating Company Debt and Contingent Obligations in respect of Indebtedness under the Operating Company Debt Documents (including Interest Rate Protection Agreements and other hedging obligations secured under the related security documents).

• Except as set forth on Schedule 7.8, true, accurate and complete copies of the Operating Company Debt Documents have been delivered to KINA.

• Seller shall deliver or make available to Purchaser each of the following: (i) copies of real estate transfer tax forms and returns relating to the Real Property (where applicable) and Tax documents related to the Real Property to the extent in the possession of Seller; (ii) all Contracts and Company Debt Documents; and (iii) all copies of all material correspondence in its possession relating to any of the Company, its Subsidiaries and any parcel of Real Property.

Company Debt Documents means the Senior Credit Agreement and the Subordinated Note and Warrant Purchase Agreement.

Company Debt Documents means (i) the Indenture, dated as of January 18, 2006, among the Company, certain guarantors and Xxxxx Fargo Bank, N.A., (ii) the Indenture, dated as of January 29, 2007, among the Company, certain guarantors and Xxxxx Fargo Bank, N.A., and (iii) the Second Amended and Restated Credit Agreement, dated as of April 26, 2007, among the Company, Royal Bank of Canada, as administrative agent and collateral agent, RBC Capital Markets, as lead arranger and sole bookrunner, and certain lenders party thereto, as amended.

Company Debt Documents means, collectively, (i) the Indenture, dated as of January 31, 2019, among the Company, the guarantors from time to time party thereto and U.S. Bank National Association, as trustee and collateral and (ii) the Company Credit Agreement.

Company Debt Documents shall have the meaning ascribed to it in Section 2.9(c)(i) hereof.

Company Debt Documents means, together, the (i) UBS Financing Facility and (ii) Company Retail Notes Documents.

Company Debt Documents means the debt documents listed in the Company Disclosure Letter.
